The Dietitian engaged under this Purchase Order must hold current registration with the Health and Care Professions Council (HCPC) and the Association for Nutrition (AfN), and must demonstrate a minimum of eight (8) years of post-qualification clinical experience in the United Kingdom London healthcare and corporate wellness sectors. All services shall be conducted in accordance with the British Dietetic Association (BDA) Code of Ethics and Professional Conduct, as well as applicable regulations under the United Kingdom's National Health Service (NHS) framework where relevant.

1. This Purchase Order is governed by the laws of England and Wales, United Kingdom. Any disputes arising from the interpretation or execution of this Purchase Order shall be subject to the exclusive jurisdiction of the courts of United Kingdom London.
2. The Dietitian and all supporting clinical nutrition staff engaged under this Purchase Order must maintain valid professional indemnity insurance with a minimum cover of £5,000,000 per claim throughout the duration of the contract.
3. All Dietitian services shall be performed in strict compliance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Patient dietary records and nutritional data collected during the provision of services in United Kingdom London shall be stored securely and processed in accordance with the client's data handling policies.
4. The Dietitian shall provide a minimum of 14 days' written notice prior to any absence or delegation of duties. In the event of absence, a suitably qualified substitute Dietitian of equivalent or higher registration status shall be appointed and approved in writing by the Buyer.
5. Payment under this Purchase Order shall be made by direct bank transfer to the account specified by Capital Nutrition & Dietetics Ltd. within thirty (30) calendar days of receipt of a valid VAT invoice. Late payments shall attract interest at the rate of 4% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
6. The Buyer reserves the right to audit the Dietitian's service delivery records, patient outcome data, and compliance documentation at any reasonable time during the contract period, with 48 hours' prior written notice.
7. This Purchase Order may be terminated by either party with ninety (90) days' written notice. In the event of termination, all outstanding Dietitian services already rendered shall be invoiced and paid in full.
8. All intellectual property, including proprietary dietary protocols, nutritional assessment frameworks, and workshop materials developed by the Dietitian specifically for this Purchase Order, shall remain the property of the Buyer upon full payment.
9. The Dietitian shall comply with all applicable United Kingdom food safety legislation, including the Food Safety Act 1990 and the Food Hygiene Regulations 2013, in the preparation of any dietary recommendations involving food product specifications.

All Dietitian services under this Purchase Order shall be delivered at the following locations within United Kingdom London, as specified by the Buyer on a rolling monthly schedule: (a) Thames Valley Health & Wellness Group Ltd. Headquarters, 128 Regent Street, London W1B 5AH; (b) Client satellite offices in the City of London, EC2 district; and (c) such other United Kingdom London premises as may be mutually agreed in writing. The Dietitian shall bear all travel and associated costs within the United Kingdom London metropolitan area as part of the agreed Purchase Order pricing.

By signing below, both parties acknowledge and accept the terms, conditions, and scope of work set forth in this Purchase Order for the provision of Dietitian services in United Kingdom London. This document constitutes a binding agreement upon execution by both authorised signatories.
