This Purchase Order is issued by the Embassy of the Republic of Argentina to procure a comprehensive supply of Diplomat brand premium writing instruments, diplomatic-grade office equipment, and ceremonial stationery for use across all Argentine diplomatic missions and consular offices located in the Buenos Aires metropolitan area. The Diplomat product line has been selected due to its established reputation for quality, durability, and the prestige associated with its branding in international diplomatic and governmental contexts. All items referenced in this Purchase Order must conform to the specifications outlined in Annex A (attached separately) and must bear the official Diplomat certification mark indicating compliance with Argentine national standards (IRAM) and international quality benchmarks.

All items listed in this Purchase Order shall be delivered to the following receiving location within the city of Buenos Aires, Argentina:

Delivery Address: Anexo Logístico, Av. del Libertador 6250, Piso 2, C1428 CGL, Buenos Aires, Argentina.
Delivery Window: Within fifteen (15) business days from the date of acceptance of this Purchase Order.
Delivery Hours: Monday through Friday, 08:00 to 16:00 (Argentina Buenos Aires local time, UTC-3).
Incoterms: DDP (Delivered Duty Paid) – Buenos Aires, Argentina.
Carrier: Diplomat International S.A. shall arrange and bear the cost of all transportation, insurance, and customs clearance within the Argentina Buenos Aires metropolitan area. The seller is responsible for any damage or loss of goods until they are physically received and inspected at the designated Buenos Aires warehouse.

Payment for this Purchase Order shall be made in Argentine Pesos (ARS) via bank transfer to the account designated by Diplomat International S.A. The payment schedule is as follows:

• 30% advance payment (ARS 8,941,740.00) due within five (5) business days of mutual signature of this Purchase Order.
• 60% upon delivery and acceptance (ARS 17,883,480.00) due within ten (10) business days following successful inspection and written acceptance of all Diplomat goods at the Buenos Aires receiving facility.
• 10% retention (ARS 2,980,580.00) due within thirty (30) days of delivery, contingent upon a satisfactory quality assurance review of the Diplomat products over a thirty-day usage period.

All payments are subject to the applicable tax regulations of the Province of Buenos Aires and the National Tax Administration (AFIP) of Argentina. Diplomat International S.A. shall provide a valid Factura A (electronic invoice) for each payment tranche in compliance with Argentine fiscal law.

The Buyer reserves the right to inspect all Diplomat products upon arrival at the Buenos Aires delivery point. Any item found to be defective, damaged in transit, or non-conforming to the specifications in Annex A shall be rejected and must be replaced by Diplomat International S.A. at no additional cost to the Buyer within ten (10) business days. The Diplomat brand warranty of twenty-four (24) months applies to all items listed in this Purchase Order, and the seller shall provide a written warranty certificate for each shipment. The Buyer may engage an independent quality inspector in Buenos Aires at the seller's expense if a dispute regarding product conformity arises.

This Purchase Order is governed by the commercial laws of the Argentine Republic, with specific reference to the Civil and Commercial Code of Argentina (Ley 26.994) and the applicable regulations of the Province of Buenos Aires. Any disputes arising from this Purchase Order shall be resolved through binding arbitration seated in Buenos Aires, Argentina, in accordance with the rules of the Argentine Chamber of Commerce. The Diplomat International S.A. acknowledges that the goods procured under this Purchase Order are intended for official diplomatic and governmental use and shall not be resold, redistributed, or transferred to any third party without the prior written consent of the Embassy of the Republic of Argentina.

This Purchase Order constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, or agreements. No modification to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties.
