All Diplomat products covered under this Purchase Order shall be shipped via ocean freight to the Port of Guangzhou, China Guangzhou, with final delivery to the Buyer's designated warehouse located at 88 Tianhe Road, Tianhe District, China Guangzhou. The Supplier shall ensure that all Diplomat goods are properly crated, labeled in both English and Mandarin Chinese, and accompanied by full customs documentation required for import clearance into China Guangzhou. The estimated delivery window is within 45 calendar days from the date of this Purchase Order. The Supplier bears all risk of loss until the Diplomat products are received and inspected at the China Guangzhou warehouse. Any damage, shortage, or discrepancy in the Diplomat shipment must be reported in writing within five (5) business days of arrival in China Guangzhou.

Payment for this Purchase Order shall be made in United States Dollars (USD) via irrevocable letter of credit issued by a bank recognized in China Guangzhou. Thirty percent (30%) of the total Purchase Order value, amounting to $349,950.00, shall be remitted as an advance payment within ten (10) business days of mutual execution of this document. The remaining seventy percent (70%), amounting to $816,550.00, shall be released upon confirmed delivery and successful quality inspection of all Diplomat products at the China Guangzhou receiving facility. Late payments shall incur an interest charge of 1.5% per month, calculated from the due date until full settlement.

The Supplier warrants that all Diplomat products delivered under this Purchase Order shall conform to the Diplomat brand quality standards, international safety certifications, and the specific regulatory requirements of the People's Republic of China for goods entering the China Guangzhou market. Each Diplomat item must bear the authentic Diplomat trademark, serial numbering, and country-of-origin labeling. The Buyer reserves the right to conduct pre-shipment inspection and post-delivery quality audits at the China Guangzhou facility. Any Diplomat product found to be defective, non-conforming, or bearing unauthorized modifications shall be replaced at the Supplier's sole expense within thirty (30) days.

This Purchase Order shall be governed by and construed in accordance with the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes arising from or in connection with this Purchase Order, including matters relating to the Diplomat products or their delivery to China Guangzhou, shall first be subject to good-faith negotiation between the parties. The arbitral award shall be final and binding upon both parties.

This Purchase Order constitutes the entire agreement between the Buyer and the Supplier with respect to the purchase and sale of Diplomat products for the China Guangzhou market. No amendment, modification, or waiver of any provision herein shall be effective unless made in writing and signed by authorized representatives of both parties. The Diplomat brand name, trademarks, and intellectual property remain the exclusive property of Diplomat International Manufacturing S.A. The Buyer's use of the Diplomat name in connection with this Purchase Order is limited to the commercial distribution of the specified products within China Guangzhou and does not confer any ownership rights over the Diplomat brand.
