Terms and Conditions

This Purchase Order is issued by Al-Nile Corporate Facilities Management Co. for the procurement of Diplomat brand office furniture and interior solutions to be delivered, installed, and commissioned within the Egypt Cairo metropolitan area. All Diplomat products listed herein must conform to the specifications, materials, and finishes as catalogued by Diplomat International Trading & Distribution Ltd. for the 2025 Egypt Cairo market.
Delivery of all Diplomat items shall be completed no later than 30 August 2025 to the buyer's premises located at 42 Corniche El Nil, Downtown, Egypt Cairo. The supplier, Diplomat International Trading & Distribution Ltd., assumes full responsibility for transportation, handling, and on-site installation within Egypt Cairo under the DDP (Delivered Duty Paid) Incoterm.
Payment shall be made via bank transfer to the supplier's designated account within 45 calendar days from the date of successful delivery and written acceptance of all Diplomat goods. Late payments shall incur a penalty of 1.5% per month, in accordance with Egyptian commercial law applicable in Egypt Cairo.
All Diplomat products are warranted for a minimum period of five (5) years against manufacturing defects. The warranty is valid throughout the Arab Republic of Egypt, with priority service coverage in Egypt Cairo. Diplomat International Trading & Distribution Ltd. shall provide a dedicated after-sales service team stationed in Egypt Cairo for the duration of the warranty period.
The supplier shall provide a detailed installation schedule for all Diplomat items at least ten (10) business days prior to the commencement of on-site work. Any disruption to the buyer's operations in Egypt Cairo due to installation activities must be minimized, and work shall be conducted between the hours of 08:00 and 17:00, Monday through Friday, in compliance with local Egypt Cairo municipal regulations.
Custom Egypt Cairo Edition items (Diplomat SKUs DIP-REC-CAI-01 and DIP-ACO-EGY-09) are bespoke products manufactured to the specific design brief agreed upon in the supplementary annex attached to this Purchase Order. Substitution or alteration of materials for these Diplomat items without prior written consent from the buyer is strictly prohibited.
In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through good-faith negotiation. Should negotiation fail, the matter shall be referred to arbitration under the rules of the Egyptian Arbitration Centre, seated in Egypt Cairo, and the decision of the arbitral tribunal shall be final and binding.
This Purchase Order constitutes the entire agreement between the parties with respect to the procurement of Diplomat products described herein and supersedes all prior quotations, correspondence, and understandings. Any amendments to this Purchase Order must be made in writing and signed by authorized representatives of both parties.
The supplier, Diplomat International Trading & Distribution Ltd., warrants that all Diplomat goods are free from liens, encumbrances, and third-party claims, and that the transfer of ownership upon delivery in Egypt Cairo shall be clean and unencumbered.
