Unloading: Buyer's responsibility at the Germany Berlin warehouse facility. Dock access to be arranged 48 hours in advance.
Packaging: All Diplomat products must be shipped in original manufacturer packaging with adequate protection for transit. Each pallet must be clearly labelled with the Purchase Order number PO-2025-BER-04872.
TERMS AND CONDITIONS1. This Purchase Order constitutes a binding agreement between Berliner Reisebedarf GmbH (Buyer) and Diplomat GmbH (Supplier) for the supply of Diplomat-branded travel and business accessories as itemised above.
2. All Diplomat products supplied under this Purchase Order must conform to the current quality specifications and German consumer product safety standards (ProdSG). Any non-conforming items will be rejected at the point of delivery in Germany Berlin at the Supplier's cost.
3. Payment shall be made via SEPA bank transfer within thirty (30) calendar days of the date of the Supplier's invoice, provided that all goods have been received and inspected at the Germany Berlin warehouse without defect.
4. The Supplier warrants that all Diplomat items are free from material and manufacturing defects for a period of twenty-four (24) months from the date of delivery in Germany Berlin.
5. Title and risk of loss shall pass to the Buyer upon physical delivery of the goods at the designated Germany Berlin location, in accordance with DAP Incoterms 2020.
6. The Supplier shall provide a commercial invoice, packing list, and certificate of origin with each delivery. All documentation must reference this Purchase Order number.
7. Any amendments to this Purchase Order must be made in writing and signed by authorised representatives of both parties. Verbal modifications are not valid.
8. This Purchase Order is governed by the laws of the Federal Republic of Germany. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Berlin, Germany.
9. The Supplier shall maintain adequate product liability insurance covering all Diplomat goods in transit and in storage within Germany Berlin.
10. This Purchase Order is valid for acceptance until 14 July 2025. Failure to confirm acceptance by this date shall render this document null and void.
