- This Purchase Order is issued by Diplomat International Procurement GmbH and governs the acquisition of all listed Diplomat-branded goods and services for deployment at the Germany Frankfurt headquarters and associated operational sites within the Frankfurt metropolitan area.
- All items bearing the Diplomat brand name must conform to the specifications outlined in the Diplomat Product Catalogue, Edition 2025, and must carry the Diplomat quality certification mark prior to delivery.
- Delivery shall be made to the Diplomat Logistics Hub at Frankfurt Airport Cargo Terminal, Germany Frankfurt, no later than 08 July 2025. The supplier assumes full responsibility for packaging, insurance, and transport within the Germany Frankfurt delivery zone.
- Payment shall be remitted via SEPA bank transfer to the supplier's designated account within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate of 8% per annum above the European Central Bank reference rate, as applicable in Germany Frankfurt.
- The supplier warrants that all Diplomat products delivered under this Purchase Order are free from defects in materials and workmanship for a period of twenty-four (24) months from the date of delivery at the Germany Frankfurt facility.
- Any modification, cancellation, or amendment to this Purchase Order must be made in writing and signed by authorized representatives of both Diplomat International Procurement GmbH and Diplomat Office Systems & Diplomatic Solutions AG. Verbal agreements regarding this order are not binding.
- This Purchase Order is governed by the laws of the Federal Republic of Germany. Any disputes arising from or in connection with this order shall be subject to the exclusive jurisdiction of the competent courts in Germany Frankfurt, Hesse.
- The supplier shall comply with all applicable German and European Union regulations regarding product safety, data protection (GDPR), and environmental standards for all Diplomat goods and services delivered to Germany Frankfurt.
- Intellectual property rights associated with the Diplomat brand, trademarks, and proprietary designs remain the exclusive property of Diplomat Office Systems & Diplomatic Solutions AG. No license or right of use is granted beyond the scope of this Purchase Order.
- Force majeure events, including but not limited to natural disasters, government-imposed restrictions, or supply chain disruptions affecting the Germany Frankfurt region, shall relieve the affected party from performance obligations for the duration of such event, provided written notice is given within five (5) business days.
This Purchase Order is valid upon signature by both parties. By signing below, each party acknowledges and agrees to all terms, conditions, and specifications set forth in this document for the procurement of Diplomat products and services for use in Germany Frankfurt.
