Terms and Conditions of This Purchase Order- Acceptance: This Purchase Order (PO No: DBL/2025/00472) shall be deemed accepted by Diplomat India Pvt. Ltd. upon written confirmation within five (5) business days of the date of issue. Failure to confirm within this period shall constitute rejection of this Purchase Order.
- Delivery: All Diplomat products listed herein shall be delivered to the Buyer's premises located in India Bangalore at the address specified above. Delivery shall be made in accordance with the schedule indicated in the itemization table. Diplomat India Pvt. Ltd. shall bear all risks of loss or damage until the goods are physically received and inspected at the India Bangalore delivery site.
- Quality Standards: All Diplomat products must conform to the specifications, dimensions, and quality standards as detailed in the Diplomat product catalog (Edition 2025) and as referenced by the SKU codes in this Purchase Order. Any item found to be defective, damaged, or non-conforming upon delivery shall be replaced at no additional cost to the Buyer within ten (10) business days.
- Payment: Payment of the Grand Total amount of INR 59,16,100.00 shall be made via NEFT/RTGS to the designated bank account of Diplomat India Pvt. Ltd. within thirty (30) days from the date of invoice issuance, subject to satisfactory receipt and inspection of all goods at the India Bangalore location. A 1.5% monthly interest shall be levied on any overdue payment.
- Warranty: Diplomat India Pvt. Ltd. shall provide a minimum warranty of two (2) years on all furniture items and one (1) year on electronic and stationery items, as per the standard Diplomat warranty policy applicable in India Bangalore. Warranty claims shall be processed at the Diplomat service center located in Whitefield, Bengaluru.
- Installation: Diplomat India Pvt. Ltd. shall provide professional installation services for all furniture and acoustic panel items at the Buyer's India Bangalore premises at no additional charge. Installation shall be completed within three (3) business days of delivery.
- Compliance: This Purchase Order is governed by the laws of India. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in India Bangalore, Karnataka. Both parties agree to attempt mediation before initiating any legal proceedings.
- Amendments: No modification, amendment, or cancellation of this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both TechNova Solutions Pvt. Ltd. and Diplomat India Pvt. Ltd.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government regulations, or supply chain disruptions affecting the India Bangalore region.
- Confidentiality: The terms, pricing, and commercial details contained in this Purchase Order are confidential and shall not be disclosed to third parties without prior written consent from both parties.
