All goods under this Purchase Order shall be delivered to the Diplomat Nairobi Operations Centre located at Upper Hill, Nairobi, Kenya. The supplier shall bear all shipping, insurance, and customs clearance costs up to the point of delivery in Nairobi, in accordance with DDP (Delivered Duty Paid) Incoterms 2020. Delivery is expected no later than 30 August 2025. The supplier must coordinate with the Kenya Revenue Authority (KRA) and the Directorate of Immigration for all necessary import permits, certificates of origin, and customs documentation prior to arrival at Mombasa Port or JKIA (Jomo Kenyatta International Airport), Nairobi. All Diplomat-branded vehicles must comply with the Kenya Bureau of Standards (KEBS) regulations and be registered with the National Transport and Safety Authority (NTSA) in Nairobi before handover.
5. PAYMENT TERMSPayment for this Purchase Order shall be made via irrevocable Letter of Credit (LC) issued by Equity Bank PLC, Nairobi Branch, in favour of Diplomat International Trading Co., Ltd. The payment schedule is as follows: thirty percent (30%) upon confirmation of this Purchase Order, forty percent (40%) upon shipment and presentation of Bill of Lading, and the remaining thirty percent (30%) upon successful delivery, inspection, and acceptance of all Diplomat goods at the Nairobi facility. All transactions shall be conducted in United States Dollars (USD) and remitted to the supplier's designated account. Late payments shall attract interest at the rate of 2% per month as stipulated under Kenyan commercial law.
6. TERMS AND CONDITIONS- This Purchase Order is governed by the laws of the Republic of Kenya and the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes arising from this Purchase Order shall be resolved through arbitration in Nairobi, Kenya, under the rules of the Nairobi Centre for International Arbitration (NCIA).
- All Diplomat products must carry valid manufacturer warranties of no less than two (2) years. Warranty claims shall be serviced at the Diplomat Nairobi Service Centre within Upper Hill, Nairobi.
- The supplier warrants that all goods are free from defects, conform to the specifications outlined in this Purchase Order, and comply with all applicable Kenyan import regulations, including those enforced by the Kenya Bureau of Standards (KEBS) and the Pharmacy and Poisons Board where applicable.
- Partial shipments are not permitted unless expressly authorized in writing by the Diplomat Procurement Division, Nairobi. All items must arrive in a single consignment to the Nairobi delivery address.
- The supplier shall provide a comprehensive packing list, commercial invoice, certificate of origin, and all Diplomat product documentation in English and Swahili to facilitate customs clearance at Mombasa Port or JKIA, Nairobi.
- Force majeure events, including but not limited to natural disasters, government sanctions, or port strikes in Kenya, shall excuse delayed performance. The affected party must notify the other within forty-eight (48) hours of the occurrence.
- This Purchase Order becomes effective upon signature by both parties and remains valid until full performance of all obligations or until 14 September 2025, whichever comes first.
- All intellectual property rights associated with the Diplomat brand, trademarks, and product designs remain the exclusive property of Diplomat International Trading Co., Ltd. The buyer shall not reproduce, modify, or rebrand any Diplomat goods without prior written consent.
