This Purchase Order is issued by Yangon Diplomatic Services & Procurement Co., Ltd. for the acquisition of Diplomat-branded premium office furniture, executive stationery, and diplomatic-grade equipment intended for deployment at the Diplomat Representative Office located in the Pabedan Township district of Myanmar Yangon. The Diplomat product line, recognized internationally for its craftsmanship, durability, and professional aesthetic, has been selected to furnish and equip the Myanmar Yangon facility to meet the standards expected of a high-level diplomatic and commercial representation. All items referenced in this Purchase Order shall conform to the Diplomat brand specifications, quality certifications, and warranty provisions as published by the manufacturer.

All Diplomat goods covered under this Purchase Order shall be delivered DDP to the following address in Myanmar Yangon: Diplomat Representative Office, No. 42 Strand Road, Pabedan Township, Yangon, Myanmar. The Seller is responsible for all transportation, customs clearance, import duties, and local delivery within the Myanmar Yangon metropolitan area. Delivery is scheduled no later than 30 September 2025. The Seller shall provide the Buyer with a minimum of fourteen (14) calendar days' written notice prior to the scheduled delivery date. All Diplomat products must be packaged in export-grade wooden crates with moisture barriers suitable for the tropical climate of Myanmar Yangon. Upon arrival, the Buyer's designated receiving officer shall inspect all items for transit damage and verify quantities against this Purchase Order within five (5) business days.

Payment for this Purchase Order shall be made in United States Dollars (USD) via irrevocable letter of credit issued by a Myanmar-based commercial bank acceptable to the Seller. The payment schedule is as follows: (a) 30% advance payment upon confirmation of this Purchase Order by both parties; (b) 50% upon presentation of Bill of Lading and certificate of origin confirming shipment of Diplomat goods; (c) 20% balance within thirty (30) days of successful delivery and acceptance at the Myanmar Yangon site. Late payments shall accrue interest at a rate of 1.5% per month. All bank charges on the Buyer's side shall be borne by the Buyer; all charges on the Seller's side shall be borne by the Seller.

The Seller warrants that all items supplied under this Purchase Order are genuine Diplomat brand products, manufactured in accordance with the Diplomat International quality management system (ISO 9001:2015 certified). Each Diplomat furniture item shall carry the embossed Diplomat authenticity seal and a unique serial number. The Seller shall provide a minimum two-year warranty on all Diplomat furniture and a five-year warranty on Diplomat writing instruments and leather goods. Any item found to be defective, non-conforming to Diplomat specifications, or not bearing the proper Diplomat authentication mark shall be replaced at the Seller's sole expense within thirty (30) days of written notice from the Buyer. The Buyer reserves the right to conduct a pre-shipment inspection at the Seller's facility in Bangkok prior to dispatch to Myanmar Yangon.

This Purchase Order is governed by the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes arising from this Purchase Order shall be resolved through arbitration in Singapore under the rules of the Singapore International Arbitration Centre (SIAC). The Seller shall maintain comprehensive cargo insurance covering all Diplomat goods from the point of origin to final delivery in Myanmar Yangon. Force majeure events, including but not limited to natural disasters affecting the Myanmar Yangon region, shall extend delivery timelines by a period equivalent to the duration of the event. This Purchase Order constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior negotiations, representations, or agreements. Amendments to this Purchase Order must be made in writing and signed by authorized representatives of both parties.
