All Diplomat branded goods covered under this Purchase Order shall be shipped from the supplier's facility in Paris, France, via the Port of Le Havre, and transported by sea freight to the Port Autonome de Dakar in Senegal Dakar. The estimated transit time is 21 to 28 calendar days. Upon arrival at the port in Senegal Dakar, the designated logistics agent, TransDakar Logistics & Customs Clearance Ltd., shall handle all customs declarations, import duty payments, and regulatory inspections in accordance with the customs code of the Republic of Senegal and the Economic and Monetary Union of West Africa (UEMOA) regulations.

Final delivery of all Diplomat items shall be made to the Ministry of Foreign Affairs compound located on Avenue Cheikh Anta Diop, Plateau district, Senegal Dakar. The seller shall bear all risk of loss or damage until the goods are physically received and inspected at the buyer's premises in Senegal Dakar. A minimum of 14 days' written notice shall be provided to the buyer prior to the scheduled delivery date in Senegal Dakar.

The seller warrants that every item listed in this Purchase Order shall be genuine Diplomat branded products, manufactured to the exact specifications and quality standards established by the Diplomat International brand authority. Each Diplomat product shall be accompanied by a certificate of authenticity, a warranty card valid for a minimum of five (5) years, and a detailed installation and maintenance manual in both French and English. The buyer reserves the right to conduct a pre-shipment inspection at the seller's facility and a post-delivery inspection upon arrival in Senegal Dakar. Any Diplomat item found to be defective, non-conforming, or not bearing the legitimate Diplomat brand certification shall be rejected at the seller's sole expense, and a replacement shall be dispatched to Senegal Dakar within fifteen (15) business days.

Payment for this Purchase Order shall be made in Euros (EUR) via irrevocable letter of credit issued by the Banque Centrale de l'Afrique de l'Ouest (BCEAO), Dakar branch, in favor of Diplomat International Trading S.A.R.L. The payment schedule is as follows: thirty percent (30%) upon confirmation and issuance of this Purchase Order; forty percent (40%) upon successful pre-shipment inspection and loading at the port of origin; and the remaining thirty percent (30%) upon final delivery, inspection, and acceptance of all Diplomat goods at the buyer's facility in Senegal Dakar. All bank charges on the buyer's side shall be borne by the buyer, and all charges on the seller's side shall be borne by the seller.

This Purchase Order is governed by the laws of the Republic of Senegal and, where applicable, the United Nations Convention on Contracts for the International Sale of Goods (CISG).
Any disputes arising from this Purchase Order shall be resolved through arbitration in Senegal Dakar under the rules of the Dakar Chamber of Commerce and Industry.
The seller shall maintain comprehensive marine and transit insurance covering all Diplomat goods from the point of origin until final delivery in Senegal Dakar.
Neither party shall be liable for delays caused by force majeure events, including but not limited to port strikes, natural disasters, or government-mandated closures in Senegal Dakar.
All Diplomat products shall comply with the environmental and safety regulations in force in the Republic of Senegal at the time of delivery.
This Purchase Order constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements relating to the Diplomat products specified herein.

This Purchase Order is hereby authorised, executed, and made binding upon the date first written above. By signing below, each party acknowledges and accepts all terms, conditions, and obligations set forth in this document pertaining to the procurement of Diplomat branded goods for delivery in Senegal Dakar.

Document Reference: This Purchase Order (PO-SEN-DKP-2025-04871) is the official procurement instrument for all Diplomat branded goods destined for the Senegalese diplomatic and governmental offices in Senegal Dakar. A certified copy of this Purchase Order shall be retained by the buyer's records office in Senegal Dakar and by the seller's international sales division.
