All goods covered under this Purchase Order shall be delivered to the designated consular facility in Istanbul, Turkey, no later than 28 June 2025. The supplier, Diplomat Yazı Gereçleri A.Ş., is responsible for all logistics, packaging, and transportation costs within the Istanbul metropolitan area. Delivery shall be made between the hours of 09:00 and 16:00 (local time, GMT+3) on a business day. The receiving officer at the Istanbul office shall inspect all Diplomat products upon arrival and sign the delivery manifest. Any items found damaged, counterfeit, or not conforming to the Diplomat quality standards specified in this Purchase Order shall be rejected and replaced at the supplier's sole expense within five (5) business days.
Payment for this Purchase Order shall be made via bank transfer to the supplier's designated account within thirty (30) calendar days of the date of confirmed delivery and acceptance of all Diplomat goods. The payment shall be processed in Turkish Lira (TRY) through the Embassy's financial services unit in Istanbul. A formal invoice referencing Purchase Order number PO-TR-IST-2025-04782 must accompany the payment request. Late payments shall incur a penalty of 1.5% per month, in accordance with Turkish commercial law (Türk Ticaret Kanunu, Article 30).
The supplier warrants that all Diplomat products delivered under this Purchase Order are new, unused, and carry the full manufacturer's warranty as stipulated by Diplomat International. Each item shall be accompanied by a certificate of authenticity and a warranty card valid for a minimum of two (2) years from the date of delivery in Istanbul, Turkey. The supplier shall maintain a dedicated after-sales support line for the duration of the warranty period, accessible from the Istanbul office during standard business hours.
6.1. This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both parties. Any amendments must be made in writing and countersigned.
6.2. The Supplier shall comply with all applicable regulations of the Republic of Turkey, including but not limited to the Turkish Code of Obligations (Türk Borçlar Kanunu) and relevant customs and import/export directives for goods transiting through Istanbul.
6.3. The Buyer reserves the right to cancel or modify this Purchase Order in whole or in part up to fourteen (14) days prior to the scheduled delivery date, subject to a written notice to the Supplier.
6.4. All disputes arising from this Purchase Order shall be resolved through arbitration in Istanbul, Turkey, in accordance with the rules of the Istanbul Arbitration Center (ISTAC).
6.5. The Supplier shall not subcontract any portion of the delivery or fulfillment of this Purchase Order without prior written consent from the Buyer's procurement authority in Istanbul.
6.6. This Purchase Order is governed by the laws of the Republic of Turkey. The official language of this document is English; in the event of any discrepancy, the English version shall prevail.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the procurement of Diplomat brand products for use at the consular facility in Istanbul, Turkey.
