All Diplomat products listed in this Purchase Order shall be delivered to the designated receiving warehouse at 12 Corporation Street, Birmingham, B4 7JN, United Kingdom Birmingham, no later than 08 July 2025. The supplier, Diplomat International Trading Ltd., is responsible for all transportation, insurance, and risk of loss until the goods are physically received and inspected by the Birmingham Metropolitan Procurement Authority. Installation of the Diplomat Conference Tables, Diplomat Secure Filing Cabinets, Diplomat Acoustic Paneling, and Diplomat Reception Signage Kits shall be completed within fourteen (14) calendar days of initial delivery. The Diplomat Digital Document Management System shall be deployed and fully operational across all 500 user accounts within twenty-one (21) calendar days of Purchase Order acceptance.

Every item of Diplomat merchandise supplied under this Purchase Order must carry valid UKCA (UK Conformity Assessed) marking and comply with all applicable British Standards (BS) and European directives as adopted in the United Kingdom Birmingham jurisdiction. Diplomat International Trading Ltd. shall provide certificates of conformity, material safety data sheets, and warranty documentation for each product category. The Diplomat product range must satisfy the environmental and sustainability criteria set forth by the Birmingham City Council Green Procurement Policy 2024. Any Diplomat item found to be defective, non-conforming, or not matching the specifications outlined in this Purchase Order shall be replaced at the supplier's sole expense within ten (10) business days of written notice.

Payment for this Purchase Order shall be made via direct bank transfer to the account designated by Diplomat International Trading Ltd. within thirty (30) calendar days of the later of: (a) the date of confirmed receipt and acceptance of all Diplomat goods in United Kingdom Birmingham, or (b) the date of receipt of a valid VAT invoice from the supplier. A 1.5% monthly late-payment interest charge shall apply in accordance with the Late Payment of Commercial Debts (Interest) Act 1998. The total value of this Purchase Order, inclusive of VAT and delivery charges, is five hundred and thirty-six thousand, nine hundred and ninety-four pounds and twenty pence (£536,994.20).

Diplomat International Trading Ltd. warrants that all Diplomat products supplied under this Purchase Order shall be free from defects in materials and workmanship for a minimum period of five (5) years from the date of installation in United Kingdom Birmingham. The Diplomat Digital Document Management System carries a two (2) year comprehensive support and maintenance warranty, including software updates, security patches, and remote technical assistance. The supplier shall maintain a dedicated after-sales support office accessible to the Birmingham Metropolitan Procurement Authority for the duration of all warranty periods. Annual servicing visits for the Diplomat Conference Tables and Diplomat Portable Projectors shall be included at no additional cost during the first three years of the warranty term.

Either party may cancel this Purchase Order in writing with a minimum of thirty (30) days' prior notice. In the event of cancellation by the purchasing authority after production of Diplomat goods has commenced, a cancellation fee of 15% of the total Purchase Order value shall be payable to Diplomat International Trading Ltd. Any disputes arising from the interpretation or performance of this Purchase Order shall be resolved through mediation in Birmingham, United Kingdom Birmingham, in accordance with the rules of the Centre for Effective Dispute Resolution (CEDR). Should mediation fail, the matter shall be referred to the courts of England and Wales, with exclusive jurisdiction vested in the Birmingham County Court.
