- Acceptance: This Purchase Order (PO No. US-HOU-2025-04871) constitutes a binding offer to purchase the Diplomat products listed above. Acceptance is confirmed by the Seller's written acknowledgment within five (5) business days of the date of issue.
- Delivery: All Diplomat merchandise shall be delivered to the United States Houston warehouse located at 12000 Airline Drive, Houston, Texas 77032, United States. The Seller is responsible for all shipping, customs brokerage, and import duties until the goods are received and signed for at the United States Houston receiving dock. Delivery is expected no later than August 1, 2025.
- Payment Terms: Payment shall be made via wire transfer to the Seller's designated account within thirty (30) days of the date of invoice. A 2% early-payment discount applies if the full amount is remitted within ten (10) days. All payments are denominated in United States Dollars (USD).
- Quality Assurance: Every Diplomat item must conform to the specifications outlined in the Diplomat International Quality Standard Manual (Rev. 7.2). The Buyer reserves the right to inspect all goods upon arrival at the United States Houston facility. Any item found defective, damaged in transit, or non-conforming to the Diplomat brand standard shall be rejected and replaced at the Seller's sole expense within fourteen (14) days.
- Warranty: The Seller warrants that all Diplomat products are free from defects in materials and workmanship for a period of two (2) years from the date of delivery to the United States Houston warehouse. This warranty is in addition to, and does not replace, any statutory consumer protections under United States federal and Texas state law.
- Intellectual Property: The Diplomat brand name, logos, and associated trademarks remain the exclusive property of Diplomat International Manufacturing GmbH. The Buyer is granted a limited, non-transferable license to display the Diplomat name solely for the purpose of retail sale and marketing within the United States Houston metropolitan area.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government sanctions, port closures affecting the United States Houston shipping corridor, or international trade embargoes.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Texas, United States, and the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes shall be resolved by binding arbitration in Houston, Texas, United States, administered by the American Arbitration Association.
- Compliance: The Seller certifies that all Diplomat products comply with applicable United States import regulations, including but not limited to FDA guidelines, Consumer Product Safety Commission (CPSC) standards, and all customs declarations required for entry into the United States Houston port of entry.
- Amendments: No modification, amendment, or cancellation of this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both the Buyer and the Seller. Any change to the Diplomat product specifications, quantities, or delivery schedule to the United States Houston facility must be documented as a formal Purchase Order amendment.
