5.1 Scope of Practice: The Doctor General Practitioner shall perform all duties consistent with the scope of general practice medicine as defined by the Argentine National Health Law (Ley 26.529) and the regulations of the Colegio Médico de la Ciudad de Buenos Aires. All clinical activities shall be conducted within the premises located in Argentina Buenos Aires, Federal Capital District.
5.2 Contract Duration: This Purchase Order constitutes a twelve (12) month engagement commencing on 01 August 2025 and concluding on 31 July 2026, subject to renewal by mutual written agreement of both parties.
5.3 Payment Schedule: Invoices shall be submitted monthly by the 5th business day. Payment shall be processed via electronic transfer (SPEI) to the bank account designated by the Doctor General Practitioner within thirty (30) calendar days of invoice receipt. All amounts are denominated in Argentine Pesos (ARS) and are subject to applicable Argentine tax withholdings (Impuesto a las Ganancias, IIBB Buenos Aires).
5.4 Compliance and Regulation: The Doctor General Practitioner warrants that he holds a valid medical license (Matrícula) issued by the Colegio Médico de la Ciudad de Buenos Aires and maintains professional liability insurance (Seguro de Responsabilidad Profesional Médica) with a minimum coverage of ARS 50,000,000, as required by Argentine medical practice regulations.
5.5 Confidentiality: All patient information and clinical data handled by the Doctor General Practitioner shall be protected in strict accordance with Argentine Law 25.326 (Personal Data Protection) and the ethical code of the Argentine medical profession. Breach of patient confidentiality shall constitute grounds for immediate termination of this Purchase Order.
5.6 Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In cases of gross professional misconduct, violation of Argentine medical ethics, or failure to maintain required licensure, the purchasing entity reserves the right to terminate immediately without penalty.
5.7 Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through binding arbitration in accordance with the rules of the Cámara de Comercio de Buenos Aires, with the seat of arbitration located in Argentina Buenos Aires. The applicable law shall be the Civil and Commercial Code of the Argentine Nation.
5.8 Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, pandemics declared by the Argentine Ministry of Health, or government-mandated closures affecting healthcare operations in Buenos Aires.
This Purchase Order is issued and authorized by the undersigned on behalf of Clínica San Martín de Buenos Aires S.A. The Doctor General Practitioner acknowledges receipt of this Purchase Order and agrees to the terms, conditions, and service specifications outlined herein. By signing below, both parties confirm that this document constitutes a binding agreement for the provision of general practice medical services in Argentina Buenos Aires.
