2. PURPOSE AND SCOPE OF THIS PURCHASE ORDER

This Purchase Order is issued by Beijing Capital Medical Procurement Co., Ltd. for the acquisition of medical equipment, diagnostic instruments, pharmaceutical supplies, and office materials required for the operational setup and ongoing maintenance of a Doctor General Practitioner clinic located in the Dongcheng District of China Beijing. The Doctor General Practitioner in question, Dr. Zhang Minghua (Medical License No. 1101012025GP0047), will be providing comprehensive primary healthcare services to the local community in China Beijing, including but not limited to preventive medicine, chronic disease management, acute illness treatment, maternal and child health consultations, and referral coordination with tertiary hospitals in the China Beijing metropolitan area.

All items listed in this Purchase Order must comply with the National Medical Products Administration (NMPA) of the People's Republic of China, the Beijing Municipal Health Commission regulations, and the applicable standards for a licensed Doctor General Practitioner practice operating within the administrative boundaries of China Beijing. The supplier is required to provide all necessary certification documents, including NMPA registration certificates, CE or equivalent conformity marks, and Chinese-language user manuals for every piece of equipment delivered under this Purchase Order.

4. DELIVERY AND INSTALLATION TERMS

All goods covered by this Purchase Order shall be delivered to the Doctor General Practitioner clinic premises at 42 Wangfujing Street, Dongcheng District, China Beijing, 100006. The supplier is responsible for all transportation, insurance, and risk of loss until the items are received, inspected, and signed for by the authorized representative of the Doctor General Practitioner practice. Installation, calibration, and commissioning of all major diagnostic equipment must be completed within five (5) business days of physical delivery. The supplier shall provide a minimum of two (2) hours of on-site training for the Doctor General Practitioner and clinical staff on the operation, maintenance, and safety protocols of each installed device.

5. TERMS AND CONDITIONS

This Purchase Order constitutes a binding agreement between Beijing Capital Medical Procurement Co., Ltd. and Huaxin Medical Equipment & Supplies Group upon written acceptance by both parties.
All equipment must carry a minimum manufacturer warranty of three (3) years from the date of installation. Warranty service must be available within the China Beijing metropolitan area with a maximum response time of 24 hours.
The Doctor General Practitioner clinic is entitled to reject any item that does not conform to the specifications stated in this Purchase Order or that lacks valid NMPA registration. Rejected items must be replaced within seven (7) calendar days at the supplier's sole expense.
Payment shall be made via bank transfer to the account specified in Section 1 within thirty (30) days of the invoice date, provided that all items have been delivered, installed, and accepted in writing by the Doctor General Practitioner practice manager.
The supplier warrants that all pharmaceutical and medical device items comply with the Drug Administration Law of the People's Republic of China and the Medical Device Supervision and Administration Regulations. Any regulatory non-compliance discovered after delivery shall render this Purchase Order voidable at the buyer's discretion, with full refund of amounts paid.
Confidentiality: All patient data, clinic operational information, and the identity of the Doctor General Practitioner and patients served in China Beijing shall remain strictly confidential. The supplier shall not disclose any such information to third parties without written consent.
Disputes arising from this Purchase Order shall be resolved through negotiation, and failing that, through arbitration at the Beijing Arbitration Commission in accordance with its rules. The governing law is the law of the People's Republic of China.
This Purchase Order is valid for acceptance within ten (10) business days from the date of issue. After this period, the buyer reserves the right to modify or cancel the order without penalty.
