This Purchase Order is issued by Mumbai Metropolitan Health Services Pvt. Ltd. to engage the services of a qualified Doctor General Practitioner for the provision of comprehensive primary healthcare services at our facility located in India Mumbai. The Doctor General Practitioner shall be responsible for the diagnosis, treatment, and ongoing management of patients presenting with a wide range of acute and chronic medical conditions. The scope of services includes but is not limited to the following:

The Doctor General Practitioner engaged under this Purchase Order must satisfy the following mandatory qualifications and compliance criteria as prescribed by the Medical Council of India and the Maharashtra State Medical Council:
- Valid MBBS degree from a recognized medical university in India, with a minimum of five (5) years of post-qualification clinical experience in general practice.
- Active and valid registration with the Medical Council of India (MCI) / National Medical Commission (NMC) and the Maharashtra State Medical Council, with registration number verifiable at the time of engagement.
- Valid Professional Indemnity Insurance coverage of not less than INR 50,00,000 (Fifty Lakh Rupees) per claim, maintained throughout the service period in India Mumbai.
- Completion of at least one Continuing Medical Education (CME) credit cycle within the preceding twelve months.
- Compliance with all applicable data protection and patient confidentiality regulations under the Digital Personal Data Protection Act, 2023, and the Indian Medical Council (Professional Conduct) Regulations.
- Adherence to the clinical protocols and standard operating procedures established by Mumbai Metropolitan Health Services Pvt. Ltd. for all patient interactions conducted within the India Mumbai facility.
- Payment Schedule: The Purchaser shall process payment to the Doctor General Practitioner on a monthly basis. Invoices must be submitted by the 5th of the following month. Payment shall be made via NEFT/RTGS to the bank account designated by the supplier within thirty (30) days of receipt of a valid tax invoice.
- Performance Standards: The Doctor General Practitioner is expected to maintain a patient satisfaction score of no less than 90% as measured by quarterly internal audits conducted by the Purchaser. Failure to meet this standard for two consecutive quarters shall constitute grounds for termination of this Purchase Order with thirty (30) days' written notice.
- Confidentiality: All patient records, clinical data, and proprietary operational information of Mumbai Metropolitan Health Services Pvt. Ltd. shall be treated as strictly confidential. The Doctor General Practitioner shall not disclose, reproduce, or transmit any such information to third parties without prior written consent, in accordance with the laws of India.
- Termination: Either party may terminate this Purchase Order by providing sixty (60) days' written notice. In the event of material breach, termination may be effected with fourteen (14) days' notice. All outstanding payments for services rendered up to the termination date shall be settled within thirty (30) days.
- Dispute Resolution: Any dispute arising out of or in connection with this Purchase Order shall first be attempted to be resolved through amicable negotiation. Failing resolution within thirty (30) days, the dispute shall be referred to arbitration in India Mumbai in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Mumbai, Maharashtra, India.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, government-mandated lockdowns, or civil unrest in India Mumbai, provided that the affected party notifies the other within seven (7) days of the occurrence.
- Intellectual Property: All clinical protocols, patient management guidelines, and proprietary systems developed or used in the course of this engagement shall remain the exclusive property of Mumbai Metropolitan Health Services Pvt. Ltd.
- Applicable Law: This Purchase Order shall be governed by and construed in accordance with the laws of India, with specific reference to the regulatory framework applicable to healthcare services in India Mumbai, Maharashtra.
By signing below, both parties acknowledge that they have read, understood, and agree to be bound by all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a Doctor General Practitioner in India Mumbai.
