This Purchase Order is issued by MediCare Health Services Pvt. Ltd., New Delhi, India, to engage the services of Dr. Ananya Sharma, a Doctor General Practitioner registered with the Delhi Medical Council, for the provision of comprehensive primary healthcare services, diagnostic consultations, and related medical supplies as detailed below. This Purchase Order governs the professional engagement of the Doctor General Practitioner for a period of twelve (12) months commencing from the date of acceptance.

5. Delivery and Service Location

All services under this Purchase Order shall be rendered at the designated MediCare Health Services clinic located at 42, Connaught Place, New Delhi – 110001, India, unless otherwise specified for home visits or community camps. The Doctor General Practitioner shall report to the New Delhi facility on the scheduled duty roster provided by the Chief Medical Officer. All medical supplies listed in Item 4 shall be delivered to the above-mentioned New Delhi address within fourteen (14) calendar days of the Purchase Order acceptance date.

6. Payment Terms and Conditions

1. Payment shall be made within thirty (30) days from the date of invoice submission, via NEFT/RTGS to the bank account designated by the Doctor General Practitioner.
2. Bank Details: HDFC Bank, Connaught Place Branch, New Delhi – 110001. Account Name: Dr. Ananya Sharma. Account No.: 50100XXXXXX1234. IFSC: HDFC0000123.
3. Applicable GST at 18% shall be charged as per the Goods and Services Tax Act, 2017, applicable in India. A valid GST invoice must accompany each payment request.
4. For home visits and community camps, a separate monthly consolidated invoice shall be submitted by the 5th of the following month.
5. Any dispute regarding payment shall be resolved through mutual negotiation within fifteen (15) days. Unresolved disputes shall be subject to arbitration in New Delhi, India, as per the Arbitration and Conciliation Act, 1996.

7. Terms and Conditions of Engagement

1. The Doctor General Practitioner shall maintain valid registration with the Delhi Medical Council and the Medical Council of India throughout the duration of this Purchase Order. Any lapse in registration shall render this Purchase Order void at the sole discretion of the Buyer.
2. The Doctor General Practitioner shall adhere to the clinical protocols, patient confidentiality policies, and ethical guidelines established by MediCare Health Services Pvt. Ltd. and the Indian Medical Association, New Delhi Chapter.
3. Professional indemnity insurance with a minimum coverage of INR 50,00,000 (Fifty Lakh Rupees) shall be maintained by the Doctor General Practitioner for the entire contract period.
4. The Doctor General Practitioner shall maintain accurate patient records in the MediCare electronic health record system and shall not remove or disclose any patient data in violation of the Digital Personal Data Protection Act, 2023, applicable in India.
5. Working hours for the Doctor General Practitioner at the New Delhi clinic shall be Monday through Saturday, 9:00 AM to 5:00 PM, with a one-hour lunch break. Emergency on-call availability shall be arranged on a rotational basis.
6. This Purchase Order may be terminated by either party with thirty (30) days' written notice. In the event of termination, all services rendered up to the termination date shall be invoiced and paid in full.
7. All intellectual property, patient data, and clinical records generated during the course of this engagement shall remain the exclusive property of MediCare Health Services Pvt. Ltd., New Delhi, India.
8. This Purchase Order shall be governed by and construed in accordance with the laws of India, and the courts of New Delhi shall have exclusive jurisdiction over any matters arising hereunder.

8. Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order. This document constitutes a binding agreement between the Buyer and the Doctor General Practitioner for the provision of healthcare services in New Delhi, India.
