- This Purchase Order is governed by the laws of the Republic of Indonesia and shall be interpreted in accordance with Indonesian commercial and healthcare regulations applicable in Indonesia Jakarta.
- The Doctor General Practitioner named in this Purchase Order must hold a valid Surat Izin Praktik (SIP) issued by the Jakarta Provincial Health Office (Dinas Kesehatan Provinsi DKI Jakarta) throughout the entire contract period. Any lapse in licensing shall constitute grounds for immediate termination of this Purchase Order.
- All services rendered under this Purchase Order shall be delivered at the designated clinic locations within Indonesia Jakarta as specified in the attached service schedule. The Doctor General Practitioner shall maintain a minimum availability of 80% of scheduled consultation hours.
- Payment shall be processed in Indonesian Rupiah (IDR) via bank transfer to the account designated by the Doctor General Practitioner. Invoices must be submitted within 15 (fifteen) calendar days following the end of each monthly billing cycle. Payment terms are Net 30 days from the date of invoice receipt.
- The Doctor General Practitioner shall comply with all data protection requirements under Indonesia's Personal Data Protection Law (UU PDP No. 27 Tahun 2022) when handling patient records generated during the engagement period in Indonesia Jakarta.
- Any modification, amendment, or cancellation of this Purchase Order must be executed in writing and signed by both parties. Verbal agreements shall not be binding.
- The Doctor General Practitioner shall maintain professional medical malpractice insurance with a minimum coverage of IDR 5,000,000,000 (five billion Indonesian Rupiah) for the duration of this Purchase Order.
- Disputes arising from this Purchase Order shall first be resolved through good-faith negotiation. If unresolved within 30 days, the matter shall be referred to the Jakarta District Court (Pengadilan Negeri Jakarta) for adjudication.
- This Purchase Order does not create an employment relationship. The Doctor General Practitioner is engaged as an independent medical service provider and shall be responsible for their own professional tax obligations in Indonesia Jakarta.
- All medical records, patient data, and operational documentation generated under this Purchase Order shall remain the property of PT Sehat Medika Nusantara and shall be stored in compliance with Indonesian healthcare record-keeping standards.
Services under this Purchase Order shall commence on 1 July 2025 and conclude on 30 June 2026, unless extended by mutual written agreement. The Doctor General Practitioner shall provide monthly performance reports to the Buyer's procurement department, detailing consultation volumes, patient outcomes, and any incidents requiring attention within the Indonesia Jakarta service area.
