4. TERMS AND CONDITIONS
  1. This Purchase Order is issued by the undersigned Doctor General Practitioner operating in Iran Tehran and is governed by the commercial laws of the Islamic Republic of Iran.
  2. All items listed in this Purchase Order must comply with the standards set by the Iranian Food and Drug Administration (IFDA) and the Ministry of Health and Medical Education, Tehran Regional Office.
  3. Delivery of all goods shall be made to the Doctor General Practitioner's clinic located at Jomhouri Square, Tehran, Iran. The supplier is responsible for all transportation, customs clearance (if applicable), and local delivery within Tehran city limits.
  4. Payment shall be made within thirty (30) calendar days from the date of confirmed delivery and acceptance of goods by the Doctor General Practitioner. Payment shall be processed via bank transfer to the supplier's designated account in Iran Tehran.
  5. The supplier warrants that all medical devices and supplies listed in this Purchase Order are new, unused, and carry valid manufacturing and quality certifications. Any item found defective within ninety (90) days of delivery shall be replaced at the supplier's sole expense.
  6. Partial shipments are permitted only with prior written approval from the Doctor General Practitioner. Each partial shipment must be accompanied by a corresponding delivery note referencing this Purchase Order number (PO-IR-THR-2025-04871).
  7. In the event of a delay exceeding fourteen (14) days beyond the stated delivery date, the Doctor General Practitioner reserves the right to cancel the affected line items without penalty and seek alternative procurement within Iran Tehran.
  8. All pricing in this Purchase Order is inclusive of Value Added Tax (VAT) as applicable under Iranian tax law. No additional charges shall be levied unless explicitly stated in writing and approved by both parties.
  9. This Purchase Order becomes void if not accepted and signed by the supplier within ten (10) business days of the issue date. Acceptance constitutes full agreement to all terms herein.
  10. Any disputes arising from this Purchase Order shall be resolved through the Tehran Arbitration Center in accordance with the Iranian Commercial Arbitration Law.
5. DELIVERY AND LOGISTICS – Iran Tehran

All deliveries under this Purchase Order shall be made to the Doctor General Practitioner's clinic at the address specified in Section 1. The supplier must coordinate delivery times with the clinic's front desk to ensure receipt during operating hours (Saturday through Wednesday, 8:00 AM to 6:00 PM, Tehran local time). Fragile medical equipment, including the portable ECG machines and digital blood pressure monitors, must be packed in shock-absorbent materials and clearly labeled. The supplier shall provide a signed delivery receipt (Barnameh) upon handover, which the Doctor General Practitioner or designated clinic staff member must countersign to confirm condition and quantity of received items.
