- Scope of Purchase: This Purchase Order is issued by Dr. Aya Kouassi, a licensed Doctor General Practitioner registered with the Ordre des Médecins de Côte d'Ivoire, for the procurement of medical equipment, diagnostic instruments, and consumable supplies necessary for the operation of a general practice clinic located in Abidjan, Ivory Coast. All items listed herein are intended to support the clinical, diagnostic, and administrative functions of the Doctor General Practitioner's patient care services.
- Delivery: The supplier shall deliver all items to the Doctor General Practitioner's clinic at 12 Boulevard Latrille, Cocody-Angré, Abidjan, Ivory Coast, no later than 05 July 2025. Delivery shall be made between 08:00 and 16:00 local time (GMT). The supplier is responsible for all transportation costs within Abidjan and for the safe handling of sensitive medical equipment.
- Payment Terms: Payment shall be made in West African CFA Francs (XOF) via bank transfer to the supplier's designated account. A 30% advance payment (3,314,190 XOF) is due upon acceptance of this Purchase Order. The remaining 70% (7,733,110 XOF) shall be paid within 15 business days following confirmed delivery, installation, and satisfactory inspection of all items by the Doctor General Practitioner or an authorized representative.
- Quality and Compliance: All medical devices and equipment must comply with the regulatory standards set by the Agence Nationale de la Sécurité du Médicament (ANSM) of Côte d'Ivoire and the West African Health Organization (WAHO). The supplier warrants that all products are new, unused, and carry valid CE or equivalent certifications. The Doctor General Practitioner reserves the right to reject any item that does not meet the specified standards.
- Warranty: The supplier provides a minimum 24-month warranty on all capital equipment (items 1 through 5, 7, and 10) from the date of installation. Consumable items (items 6 and 8) are warranted to be within their stated shelf life at the time of delivery. Warranty claims shall be directed to the supplier's Abidjan service center.
- Installation and Training: The supplier shall provide on-site installation of the ECG machine, medical refrigerator, and autoclave sterilizer at the Doctor General Practitioner's clinic in Abidjan. A minimum of two (2) hours of operator training shall be provided to the Doctor General Practitioner and one (1) designated nursing assistant for each major piece of equipment.
- Regulatory Compliance — Ivory Coast: This Purchase Order is governed by the commercial laws of the Republic of Côte d'Ivoire and the OHADA (Organisation pour l'Harmonisation en Afrique du Droit des Affaires) uniform acts. Any disputes arising from this Purchase Order shall be resolved through the competent commercial courts of Abidjan, Ivory Coast.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or port disruptions affecting the Port of Abidjan. Affected parties must notify the other in writing within 48 hours of the event.
- Confidentiality: The supplier acknowledges that this Purchase Order relates to the operational needs of a Doctor General Practitioner providing patient care in Abidjan. No information contained herein shall be disclosed to third parties without the written consent of the Doctor General Practitioner.
- Validity: This Purchase Order is valid for acceptance within ten (10) calendar days from the date of issue. Failure to confirm acceptance within this period shall render this document null and void.
