2. SCOPE OF PROCUREMENT

This Purchase Order is issued by Al Noor Medical Group LLC for the engagement of a Doctor General Practitioner to provide comprehensive primary healthcare services to the company's employee wellness programme and corporate medical screening operations located in United Arab Emirates Abu Dhabi. The Doctor General Practitioner shall deliver outpatient consultations, preventive health assessments, chronic disease management, and occupational health evaluations in full compliance with the regulations set forth by the Department of Health (DHA) of Abu Dhabi and the Ministry of Health and Prevention of the United Arab Emirates.

4. TERMS AND CONDITIONS
  1. Regulatory Compliance: The Doctor General Practitioner shall maintain a valid and active medical licence issued by the Department of Health (DHA) of Abu Dhabi, United Arab Emirates, throughout the entire duration of this Purchase Order. Any lapse in licensure shall constitute a material breach of this agreement.
  2. Service Delivery Location: All services under this Purchase Order shall be rendered at the designated medical facility located in Abu Dhabi, United Arab Emirates, or at such other locations within the emirate as mutually agreed in writing by both parties.
  3. Payment Schedule: Payment shall be made within thirty (30) calendar days from the date of receipt of a valid tax invoice. Payments shall be processed via bank transfer to the account designated by the Doctor General Practitioner. The currency of all transactions shall be UAE Dirham (AED).
  4. Confidentiality and Data Protection: The Doctor General Practitioner shall adhere strictly to the UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data and all DHA Abu Dhabi regulations regarding patient confidentiality. All medical records and employee health data shall be stored securely and shall not be disclosed to any third party without written consent.
  5. Performance Standards: The Doctor General Practitioner shall maintain a minimum patient satisfaction score of 90% as measured by quarterly surveys conducted by the Purchasing Entity. Failure to meet this standard for two consecutive quarters shall entitle the Purchasing Entity to terminate this Purchase Order with thirty (30) days' written notice.
  6. Substitution: The Doctor General Practitioner may not delegate or substitute services to another practitioner without prior written approval from the Purchasing Entity. Any substitute must hold equivalent DHA Abu Dhabi licensure and qualifications.
  7. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to government-mandated closures, epidemics, or natural disasters affecting the United Arab Emirates Abu Dhabi region.
  8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the federal laws of the United Arab Emirates and the specific regulations of Abu Dhabi. Any disputes shall be resolved through the courts of Abu Dhabi, United Arab Emirates.
  9. Validity and Amendment: This Purchase Order is valid for a period of twelve (12) months from the date of issue. Any amendments or modifications must be made in writing and signed by authorised representatives of both parties.
  10. Insurance: The Doctor General Practitioner shall maintain professional medical malpractice insurance with a minimum coverage of AED 5,000,000, valid throughout the term of this Purchase Order, and shall provide a certificate of insurance upon request.
