1. All physical goods under this Purchase Order shall be delivered to the receiving warehouse of Dhaka Business & Academic Publications Ltd. at the address stated above in Bangladesh Dhaka. The delivery shall be made via air freight to Hazrat Shahjalal International Airport (DAC), Dhaka, with subsequent ground transport to the final destination within the Dhaka city limits. The Seller shall ensure that all copies of The Economist are properly packaged, protected against humidity and heat conditions typical of the Dhaka climate, and accompanied by all necessary customs documentation for clearance through the Bangladesh Customs Department.
Delivery is expected within 21 calendar days from the date of this Purchase Order. The digital access licenses for The Economist shall be activated and made available to the designated user accounts in Dhaka within 5 business days of confirmed payment.
3. Payment TermsPayment for this Purchase Order shall be made in United States Dollars (USD) via international wire transfer (SWIFT) to the account of Economist Group Distribution International. The payment schedule is as follows:
- 50% Advance Payment: USD 76,575.00 due within 7 business days of acceptance of this Purchase Order.
- 50% Balance Payment: USD 76,575.00 due within 14 business days of confirmed delivery of all physical goods to Bangladesh Dhaka and successful activation of digital licenses.
Bank charges on the sender's side shall be borne by the Buyer. All payments are subject to the prevailing foreign exchange regulations of the Bangladesh Bank. The Buyer shall obtain a Letter of Credit (LC) or Bank Guarantee from a scheduled bank in Dhaka if required by the Seller.
4. Terms and Conditions4.1 This Purchase Order is governed by the laws of the People's Republic of Bangladesh and the United Nations Convention on Contracts for the International Sale of Goods (CISG).
4.2 The Seller warrants that all copies of The Economist supplied under this order are genuine, undamaged, and in full compliance with international publishing standards. Any defective or damaged items shall be replaced at the Seller's expense within 30 days of notification from the Buyer in Dhaka.
4.3 The digital access licenses for The Economist are non-transferable and restricted to use within the geographical boundaries of Bangladesh. The Buyer shall ensure that all licensed users in Dhaka comply with the terms of use as stipulated by the Economist Group.
4.4 The Buyer is responsible for all import duties, VAT (Value Added Tax at 15% as applicable in Bangladesh), and customs clearance charges at the port of entry in Dhaka. The Seller shall provide a commercial invoice, packing list, certificate of origin, and any other documents required by Bangladesh Customs.
4.5 In the event of force majeure, including but not limited to natural disasters, political unrest, or government-imposed restrictions in Bangladesh Dhaka that prevent timely delivery, the affected party shall notify the other within 48 hours, and the delivery timeline shall be extended accordingly.
4.6 Disputes arising from this Purchase Order shall be resolved through arbitration in Dhaka, Bangladesh, in accordance with the Arbitration Act of Bangladesh. The language of arbitration shall be English.
4.7 This Purchase Order becomes effective upon written acceptance by both parties. No modification or amendment shall be valid unless made in writing and signed by authorized representatives of both the Buyer and the Seller.
