VAT & Customs Note: As the seller is established in the United Kingdom (a non-EU jurisdiction following the transition period), this Purchase Order is subject to Belgian import VAT at the standard rate of 21% as governed by the Belgian Code on VAT (Code de la TVA / Wet op de omzetbelasting). The buyer, Brussels Economic Research Institute, is registered for VAT in Belgium under number BE 0645.872.391 and shall be responsible for the declaration and settlement of import VAT with the Belgian Federal Public Service Finance (SPF Finances / FOD Financiën) in Brussels. The seller shall provide a valid commercial invoice and, where applicable, a Certificate of Origin to facilitate customs clearance at the Brussels airport or the designated customs office in the Brussels-Capital Region. Terms and Conditions
  1. Governing Law: This Purchase Order and all transactions arising hereunder shall be governed by and construed in accordance with the laws of the Kingdom of Belgium, specifically the Belgian Code of Economic Law (Code de droit économique / Wetboek van economisch recht), Book VI, and applicable European Union regulations, including Regulation (EU) 2016/679 (GDPR) for any personal data processing related to subscription management.
  2. Delivery: All printed materials shall be delivered to the buyer's registered address at Chaussée de Louvin 245, 1000 Brussels, Belgium. Digital access credentials for The Economist institutional platform shall be transmitted electronically no later than five (5) business days prior to the stated delivery deadline. Delivery is subject to the DDP (Delivered Duty Paid) Incoterms 2020 as published by the International Chamber of Commerce.
  3. Payment: Payment shall be made via SEPA bank transfer to the seller's designated euro-denominated account within thirty (30) calendar days of receipt of a valid commercial invoice. The buyer's bank is KBC Bank, Brussels branch, IBAN: BE68 5390 0754 7034. Late payments shall accrue interest at the rate prescribed by the Belgian Law of 2 August 2002 on late payment in commercial transactions.
  4. Acceptance & Inspection: The buyer reserves the right to inspect all delivered items within ten (10) business days of receipt. Any discrepancies in quantity, condition, or edition accuracy must be reported in writing to the seller within this period. Failure to report shall constitute acceptance of the goods as delivered.
  5. Intellectual Property: All content of The Economist, including articles, analyses, data visualizations, and podcast episodes, remains the exclusive intellectual property of The Economist Group Ltd. The institutional license grants the buyer a non-transferable, non-exclusive right of access for internal research and educational purposes within the Brussels Economic Research Institute. Redistribution, republication, or commercial exploitation of The Economist content is strictly prohibited.
  6. Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, or government-imposed restrictions affecting cross-border trade between the United Kingdom and the European Union, as further defined under Article 5.3 of the Belgian Code of Economic Law.
  7. Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall first be subject to good-faith negotiation between the parties. Should negotiation fail within thirty (30) days, the dispute shall be submitted to the competent commercial court of Brussels, Belgium, or, at the buyer's election, to arbitration under the rules of the Belgian Arbitration Institute (BIAC) seated in Brussels.
  8. Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms, pricing, and volume of this Purchase Order. No information contained herein shall be disclosed to third parties without prior written consent, in compliance with Belgian data protection legislation and the EU General Data Protection Regulation.
  9. Amendments: This Purchase Order may only be amended or modified by a written addendum signed and dated by authorized representatives of both parties. Verbal agreements or informal communications shall not constitute a valid modification of this document.
  10. Entire Agreement: This Purchase Order, together with any attached schedules and the seller's standard terms of service for institutional subscriptions, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, or agreements relating to the procurement of The Economist publications and services.
