Terms and Conditions

  1. This Purchase Order is issued by Grupo Econômico Paulista S.A., a corporation duly registered under the laws of the Federative Republic of Brazil, with headquarters in the city of São Paulo, State of São Paulo, and constitutes a binding offer to purchase the goods and services of The Economist Media & Publishing Ltd. as described herein.
  2. All pricing is quoted in Brazilian Reais (BRL) and is subject to the exchange rate published by the Central Bank of Brazil (Banco Central do Brasil) on the date of invoice issuance. Any fluctuation exceeding 5% shall trigger a renegotiation clause.
  3. Delivery of all physical copies of The Economist shall be made to the buyer's premises in São Paulo, Brazil, in accordance with DAP Incoterms 2020. The seller assumes all risk of loss until the goods are delivered to the specified address in the city of São Paulo.
  4. Digital access licenses for The Economist platform shall be activated within five (5) business days of confirmed payment. The 45 user seats are non-transferable and restricted to employees of the buyer operating in the São Paulo metropolitan area.
  5. The seller warrants that all copies of The Economist magazine and digital content are authentic, free of defects, and in full compliance with Brazilian intellectual property and import regulations (ANATEL, INPI, and Receita Federal guidelines).
  6. Payment shall be made via international wire transfer to the seller's designated account within thirty (30) calendar days of receipt of a valid commercial invoice. Late payments shall accrue interest at the rate of 1% per month, in accordance with Brazilian commercial law (Código Civil, Art. 406).
  7. This Purchase Order is governed by the laws of the Federative Republic of Brazil. Any disputes arising from this transaction shall be resolved by arbitration in the city of São Paulo, State of São Paulo, under the rules of the CAMARB (Câmara de Arbitragem do Mercado), with proceedings conducted in Portuguese.
  8. The buyer reserves the right to cancel or modify this Purchase Order in writing up to ten (10) business days prior to the scheduled delivery date, subject to a 15% cancellation fee on the affected line items.
  9. All personal data processed under this Purchase Order shall comply with the Brazilian General Data Protection Law (LGPD – Lei Geral de Proteção de Dados, Lei nº 13.709/2018).
  10. This document, together with any attached schedules, constitutes the entire agreement between the parties regarding the purchase of The Economist publications and associated services for the buyer's operations in São Paulo, Brazil.
