All digital subscriptions and licenses referenced in this Purchase Order shall be activated no later than June 25, 2025. Print editions of The Economist, including the weekly magazine and quarterly Economist Intelligence Unit reports, shall be delivered to the Canada Montreal office address listed in Section 1. The supplier, The Economist Group Limited, acknowledges that delivery to Canada Montreal is subject to international shipping from the United Kingdom and agrees to a maximum transit window of fourteen (14) business days per shipment. All print materials must be clearly labeled with the recipient company name and Canada Montreal postal code H3B 4W8 to ensure proper routing through Canada Post and local courier services.

Payment for this Purchase Order shall be made via electronic funds transfer (EFT) to the bank account designated by The Economist Group Limited. The total amount of CAD 47,443.04 is due within net thirty (30) days from the date of invoice issuance. Late payments shall incur a penalty of 1.5% per month on the outstanding balance. The buyer reserves the right to withhold payment in the event of non-conforming delivery or failure to activate digital access within the stipulated timeframe. All transactions are denominated in Canadian Dollars (CAD), and any foreign exchange fluctuations are the responsibility of the seller.

This Purchase Order is governed by the laws of the Province of Quebec and the federal laws of Canada applicable in Canada Montreal. The Economist Group Limited agrees to comply with all applicable Canadian import regulations, customs declarations, and tax obligations for the delivery of print materials to Canada Montreal. The institutional license for The Economist digital platform is non-transferable and limited to employees of Montreal Business Intelligence Group Inc. operating from the Canada Montreal premises. Any breach of the licensing terms by the buyer shall result in immediate suspension of access. The supplier warrants that all content provided under this Purchase Order, including The Economist weekly publication, podcasts, and data platform access, is free from intellectual property encumbrances and is provided for internal corporate use only. Disputes arising from this Purchase Order shall be resolved through arbitration in Canada Montreal in accordance with the rules of the Quebec Arbitration Act.

Either party may request modification of this Purchase Order in writing. No modification shall be effective until confirmed in writing by both parties. Cancellation of digital subscriptions prior to the activation date is permitted without penalty. Cancellation after activation is subject to a 25% administrative fee. Print subscriptions may be cancelled with thirty (30) days written notice, and no further shipments to Canada Montreal will be dispatched thereafter.

This Purchase Order is hereby authorized and executed by the undersigned representatives of both parties. By signing below, both parties acknowledge and agree to all terms, conditions, line items, and obligations set forth in this document regarding the procurement of The Economist publications and services for use in Canada Montreal.
