Note on VAT and Customs: As the buyer is a registered VAT entity in Munich, Germany, the 19% German Value Added Tax (Umsatzsteuer) applies to digital subscription services rendered to a German business entity. Print materials shipped from the United Kingdom to Germany are subject to the reverse-charge mechanism under EU/UK trade regulations. The supplier shall provide a compliant invoice referencing the buyer's German VAT identification number (DE 312 456 789) for proper tax treatment under the German Fiscal Code (Abgabenordnung, AO).

All print editions of The Economist shall be delivered to the following address in Munich, Germany: Bayerische Wirtschaftsforum GmbH, Leopoldstrasse 245, 80807 München, Germany. Delivery shall occur no later than Tuesday of each publication week to ensure availability for the Wednesday executive board meeting. Digital access credentials and the institutional license shall be activated within five (5) business days of receipt of full payment. The buyer reserves the right to inspect and verify all delivered materials within fourteen (14) calendar days of receipt in Munich. Any discrepancies, damaged copies, or activation failures must be reported in writing to the supplier within this period.

Payment shall be made via SEPA bank transfer to the supplier's designated account within thirty (30) calendar days of the invoice date, in accordance with standard German commercial practice (Zahlungsziel). The supplier shall issue a single consolidated invoice for the full annual subscription period. In the event of a dispute regarding the quality or completeness of The Economist materials delivered to Munich, the buyer may withhold the disputed portion of payment pending resolution. Late payments shall accrue interest at the statutory rate under Section 288 of the German Civil Code (Bürgerliches Gesetzbuch, BGB), which currently stands at eight percentage points above the European Central Bank base rate for business-to-business transactions.

  1. This Purchase Order is governed by the laws of the Federal Republic of Germany, specifically the German Commercial Code (Handelsgesetzbuch, HGB) and the German Civil Code (Bürgerliches Gesetzbuch, BGB). The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall apply to the cross-border elements of this transaction between the United Kingdom and Germany.
  2. The supplier warrants that all copies of The Economist delivered to Munich, Germany, shall be genuine, undamaged, and in full compliance with the editorial content published by The Economist Group Limited for the corresponding publication dates.
  3. The institutional digital license for The Economist is non-transferable and restricted to the named entity, Bayerische Wirtschaftsforum GmbH, and its registered offices in Munich and the broader Bavarian region. Unauthorized redistribution of The Economist digital content is strictly prohibited under the license agreement.
  4. Either party may terminate this Purchase Order with a written notice of thirty (30) days if the other party commits a material breach that remains uncured after a further fourteen (14) days of written notice. Termination shall not affect obligations accrued prior to the effective date of termination.
  5. All communications regarding this Purchase Order, including amendments, delivery confirmations, and dispute notifications, shall be directed to the addresses listed in the header of this document in Munich, Germany, or London, United Kingdom, respectively.
  6. In the event of any dispute arising from or in connection with this Purchase Order, the parties shall first attempt to resolve the matter through good-faith negotiation. Should negotiation fail, the exclusive jurisdiction of the competent courts in Munich, Germany, shall apply for all legal proceedings.
  7. This Purchase Order constitutes the entire agreement between the parties with respect to the procurement of The Economist subscriptions and related services described herein and supersedes all prior negotiations, representations, or agreements, whether oral or written.
