All physical copies of The Economist magazine and related print materials shall be delivered to the designated office at 14 Independence Avenue, Ridge, Accra, Ghana. The supplier shall arrange all international freight from the United Kingdom to the Port of Tema, Ghana Accra region, and shall be responsible for all customs clearance, import documentation, and payment of applicable Ghanaian import duties and taxes as stipulated by the Ghana Revenue Authority (GRA) and the Ghana Customs Service. Delivery to the final Accra address shall be completed within 21 calendar days from the date of this Purchase Order. Bi-weekly bulk shipments (Item 003) shall be delivered every two weeks commencing 1 July 2025, with each delivery arriving at the Accra office no later than 10:00 AM local time (GMT+0).
Payment shall be made within thirty (30) calendar days of the date of this Purchase Order via wire transfer to the supplier's designated bank account. The payment shall be processed through the Bank of Ghana's approved foreign exchange channels. The buyer shall provide a valid Ghanaian Tax Identification Number (TIN) and import permit documentation as required by the Bank of Ghana for foreign currency disbursement. Late payments shall attract a penalty of 2% per month on the outstanding balance. All amounts are subject to the prevailing Bank of Ghana exchange rate on the date of payment. The buyer reserves the right to withhold payment for any items not delivered in accordance with the specifications outlined in this Purchase Order.
This Purchase Order is governed by the laws of the Republic of Ghana and the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes arising from this Purchase Order shall be resolved through arbitration in Accra, Ghana, in accordance with the rules of the Ghana Arbitration Centre. The supplier warrants that all copies of The Economist magazine and digital content are genuine, unaltered, and free from any intellectual property encumbrance. The supplier shall indemnify the buyer against any claims arising from defective or non-conforming goods. This Purchase Order becomes binding upon written acceptance by both parties. No modification of this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties. The buyer may cancel this Purchase Order in whole or in part upon fourteen (14) days' written notice prior to the scheduled delivery date, subject to a cancellation fee of 10% of the cancelled value.
Note 1: All import documentation must comply with the Ghana Standards Authority (GSA) requirements for printed publications entering the country. The supplier must provide a commercial invoice, packing list, certificate of origin, and bill of lading for each shipment arriving at Tema Port, Ghana Accra.
Note 2: The digital access license (Item 002) shall be activated within five (5) business days of confirmed payment. Access credentials shall be delivered electronically to the IT department at Accra Business & Media Solutions Ltd., Accra, Ghana.
Note 3: The buyer acknowledges that The Economist is a registered trademark of The Economist Group. This Purchase Order constitutes a license to receive and distribute the specified materials within the Republic of Ghana and does not grant any rights of reproduction or sublicensing beyond the terms of the subscription agreement.
Note 4: In the event of currency fluctuation exceeding 5% between the date of this Purchase Order and the date of payment, the parties shall negotiate in good faith to adjust the GHS-denominated total accordingly, referencing the Bank of Ghana mid-market rate.
