1. Purchase Order Reference & Scope

This Purchase Order (hereinafter referred to as "the PO") is issued by Strait Commerce & Media Holdings Sdn. Bhd., a registered corporate entity operating from its principal office in Malaysia Kuala Lumpur, for the purpose of procuring a bulk subscription and print edition acquisition of The Economist magazine. This Purchase Order governs the terms, conditions, delivery schedule, and payment arrangements for the supply of The Economist weekly publication to the Buyer's offices, regional branch networks, and corporate reading rooms located throughout the Kuala Lumpur metropolitan area and selected satellite offices in the Klang Valley region of Malaysia.

3. Delivery Terms & Schedule

All print editions of The Economist shall be dispatched from the Seller's London distribution centre no later than Tuesday of each publication week. International air freight shall be arranged to ensure arrival at the Buyer's designated receiving warehouse at Port Klang Free Zone, Malaysia Kuala Lumpur, no later than Thursday of the same week. Local last-mile distribution within the Kuala Lumpur city limits and the broader Klang Valley shall be completed by Friday at 12:00 noon (MYT). The Buyer's logistics coordinator, Mr. Tan Wei Ming, shall be the primary point of contact for all delivery confirmations and receipt acknowledgements at the Kuala Lumpur receiving facility.

4. Payment Terms
  • Payment Method: Telegraphic Transfer (TT) to the Seller's designated bank account in GBP, or Letter of Credit (LC) at sight, at the Buyer's discretion.
  • Payment Schedule: 40% advance payment (MYR 195,574.24) due within 14 calendar days of the execution of this Purchase Order; 60% balance (MYR 293,361.36) due within 30 days of final delivery and acceptance of all items listed herein.
  • Currency: All amounts are quoted in Malaysian Ringgit (MYR). Conversion to GBP for international remittance shall be at the Bank Negara Malaysia (BNM) reference rate on the date of transfer.
  • Bank Details (Buyer): Maybank Berhad, Account No. 5123-4567-8901, SWIFT: BMMBMYKL, Branch: Jalan Ampang, Kuala Lumpur, Malaysia.
  • Late Payment: A penalty of 2% per month shall apply to any outstanding balance exceeding the stipulated payment window, in accordance with Malaysian commercial practice.
5. Terms & Conditions
  • 5.1 This Purchase Order shall be governed by and construed in accordance with the laws of Malaysia, specifically the Sale of Goods Act 1957 (Act 143) and the Contracts Act 1950 (Act 136), with the courts of Kuala Lumpur, Federal Territory of Kuala Lumpur, Malaysia, having exclusive jurisdiction over any disputes arising hereunder.
  • 5.2 The Seller warrants that all copies of The Economist supplied under this Purchase Order shall be genuine, undamaged, and in full compliance with Malaysian customs regulations for the importation of printed periodicals. The Seller shall provide all necessary export documentation, including commercial invoices, packing lists, and certificates of origin, to facilitate smooth clearance at Port Klang.
  • 5.3 The Buyer reserves the right to inspect all delivered items within 7 business days of receipt at the Kuala Lumpur facility. Any discrepancies in quantity, condition, or edition shall be reported in writing to the Seller within the said inspection period. Failure to report within this window shall constitute acceptance of the goods.
  • 5.4 Intellectual property rights in The Economist content remain the exclusive property of The Economist Group. The Buyer's license under this Purchase Order is strictly for internal corporate use within its Malaysia Kuala Lumpur premises and does not extend to public redistribution, resale, or digital republication of any The Economist material.
  • 5.5 Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, government-imposed trade restrictions, pandemics, or disruptions to international shipping lanes affecting the UK-to-Malaysia route.
  • 5.6 This Purchase Order is valid for a period of twelve (12) months from the date of execution, covering the full 2025 calendar year of The Economist weekly publications. Renewal for subsequent years shall be subject to mutual written agreement and a new Purchase Order.
  • 5.7 All communications relating to this Purchase Order shall be directed to the respective procurement offices in Kuala Lumpur (Buyer) and London (Seller) via registered email or courier. Verbal agreements shall not constitute a valid amendment to this document.
