This Purchase Order is issued by Grupo Financiero del Valle, S.A. de C.V., a financial institution headquartered in Mexico, Mexico City, for the acquisition of institutional subscriptions to The Economist magazine, digital access platforms, and specialized economic consulting services provided by a senior Economist retained under this agreement. All physical copies of The Economist magazine shall be delivered weekly to the buyer's office located at Av. Paseo de la Reforma 505, Piso 12, Mexico City, Mexico, no later than 10:00 AM local time on the day of publication. Digital access credentials for the Economist platform shall be provisioned within five (5) business days of the execution of this Purchase Order. The consulting services provided by the retained Economist shall be scheduled by mutual agreement between the buyer's research director and the consultant, with a minimum of two (2) sessions per month conducted in person at the Mexico City premises. The custom research report shall be delivered in both digital (PDF) and hard-copy format within ninety (90) calendar days of the order date. The training workshop shall be conducted on dates to be confirmed no later than August 15, 2025, at the buyer's conference room in Mexico City.

Payment for this Purchase Order shall be made in Mexican Pesos (MXN) via bank transfer to the account of Economist Media Latam, S.A. de C.V., Banco BBVA México, CLABE: 012180012345678901, located in Mexico City. The payment schedule is as follows:

  • 50% advance payment (MXN 632,200.00) due within ten (10) business days of the signing of this Purchase Order.
  • 30% progress payment (MXN 379,320.00) due upon delivery of the custom research report and completion of the training workshop.
  • 20% final payment (MXN 252,880.00) due upon satisfactory completion of all consulting hours and confirmation of the full year of magazine deliveries.

Late payments shall accrue interest at a rate of 1.5% per month, in accordance with the Commercial Code of the United Mexican States. All invoices must reference this Purchase Order number (MXC-2025-04871) and include the seller's RFC for tax compliance in Mexico.

  1. This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon signature by both authorized representatives. It shall be governed by and interpreted in accordance with the commercial laws of the United Mexican States, with the seat of jurisdiction established in Mexico City, Mexico.
  2. The Seller warrants that all copies of The Economist delivered under this order shall be genuine, undamaged, and in the latest edition. Any defective or missing issues shall be replaced within three (3) business days at no additional cost to the Buyer.
  3. The Economist (consultant) engaged under Line Item 03 shall maintain strict confidentiality regarding all proprietary financial data, internal analyses, and strategic information of Grupo Financiero del Valle. A separate Non-Disclosure Agreement (NDA) shall be executed prior to the commencement of consulting services.
  4. The digital license for The Economist platform is non-transferable and restricted to employees and authorized contractors of the Buyer operating from the Mexico City office. Any unauthorized sharing of access credentials shall result in immediate termination of the digital license without refund.
  5. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the Buyer shall be liable for all services rendered and subscriptions already delivered up to the termination date.
  6. All intellectual property rights in The Economist content, including articles, data visualizations, and the custom research report, shall remain the property of The Economist Group. The Buyer is granted a non-exclusive, non-transferable license to use such content for internal business purposes only.
  7. Force majeure events, including but not limited to natural disasters, government-mandated closures, or international trade disruptions affecting delivery to Mexico City, shall excuse timely performance for the duration of such event, provided written notice is given within five (5) business days.
  8. This Purchase Order is valid for acceptance until July 12, 2025. Failure to sign and return by this date shall render this document null and void.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the acquisition of The Economist publications, digital services, and Economist consulting, to be fulfilled in Mexico, Mexico City.
