4. Scope and Location of Performance

All services described in this Purchase Order shall be performed by the designated Economist or team of Economists at the premises of the Purchasing Entity located in Morocco Casablanca, or at such other locations within the Casablanca-Settat region as mutually agreed in writing. The Economist shall maintain a minimum on-site presence of four (4) full working days per week at the Atlas Casablanca Economic Development Group offices in the Anfa District, Morocco Casablanca. Remote work arrangements, if any, must be pre-approved by the Chief Procurement Officer and shall not exceed two (2) consecutive days per week.

5. Terms and Conditions
  1. Acceptance: This Purchase Order constitutes a binding offer. Acceptance by the Supplier is confirmed by countersignature below and by the return of a signed copy to the Purchasing Entity within ten (10) business days of the date of issue.
  2. Commencement: The Economist engagement shall commence on 1 July 2025 in Morocco Casablanca and shall continue for a period of twelve (12) months unless terminated earlier in accordance with Clause 9.
  3. Payment Terms: Payment shall be made in Moroccan Dirhams (MAD) via bank transfer to the Supplier's designated account. Invoices are due within thirty (30) days of receipt of a valid invoice and satisfactory delivery of the corresponding Economist deliverables. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under Moroccan commercial law.
  4. Deliverables and Reporting: The Economist shall submit monthly progress reports, quarterly analytical publications, and an annual comprehensive economic outlook report for Morocco Casablanca. All reports shall be submitted in both French and English to accommodate the bilingual professional environment of Casablanca.
  5. Intellectual Property: All data, models, analyses, and publications produced by the Economist under this Purchase Order shall be the exclusive property of the Purchasing Entity. The Supplier retains the right to reference the engagement in professional portfolios with prior written consent.
  6. Compliance with Moroccan Law: The Economist and the Supplier shall comply with all applicable laws and regulations of the Kingdom of Morocco, including but not limited to the Moroccan Labor Code, data protection regulations (Law 09-08), and the regulations governing the Casablanca Finance City Authority where applicable.
  7. Confidentiality: The Economist shall treat all proprietary data, financial information, and strategic plans of the Purchasing Entity as strictly confidential. This obligation survives the termination of this Purchase Order for a period of three (3) years.
  8. Insurance and Liability: The Supplier shall maintain professional indemnity insurance with a minimum coverage of 5,000,000 MAD, valid throughout the term of this Purchase Order in Morocco Casablanca. The Supplier shall indemnify the Purchasing Entity against any third-party claims arising from the Economist's professional negligence.
  9. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, the non-breaching party may terminate with fourteen (14) days' notice. Upon termination, the Supplier shall deliver all work-in-progress and raw data to the Purchasing Entity within ten (10) business days.
  10. Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to good-faith negotiation. Failing resolution within thirty (30) days, the dispute shall be referred to the competent commercial courts of Casablanca, Morocco. The governing law shall be the laws of the Kingdom of Morocco.
  11. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies affecting Morocco Casablanca.
6. Special Instructions for the Economist in Morocco Casablanca

The Economist engaged under this Purchase Order is expected to develop a thorough understanding of the unique economic landscape of Morocco Casablanca, which serves as the financial and commercial capital of the Kingdom. The Economist shall coordinate closely with the Casablanca Stock Exchange (Bourse de Casablanca), the Bank Al-Maghrib regional office, and the Casablanca-Settat Regional Council to ensure that all analyses reflect current local conditions. The Economist shall also attend the annual Casablanca Economic Forum and contribute to the regional economic development strategy document prepared by the local authorities.
