- Delivery: All print materials under this Purchase Order shall be delivered DDP (Delivered Duty Paid) to the Kathmandu International Business & Research Institute premises at Boudha Marg, Kathmandu, Nepal. The Supplier shall bear all risks of loss or damage until the goods are physically received and signed for by the Buyer's designated representative in Kathmandu.
- Payment: Payment shall be made within thirty (30) calendar days from the date of invoice issuance. Payment shall be remitted via international wire transfer to the Supplier's designated bank account in London, United Kingdom. The Buyer shall bear any intermediary bank charges applicable to cross-border transfers from Nepal.
- Customs & Import Compliance (Nepal): The Supplier shall provide all necessary commercial invoices, packing lists, certificates of origin, and any documentation required by the Nepal Customs Department and the Department of Customs, Kathmandu, to facilitate smooth clearance of The Economist print materials into Nepal. The Buyer shall provide its valid PAN/VAT registration number and import license (if applicable) to the Supplier prior to shipment.
- Subscription Activation: The digital institutional subscription to The Economist platform shall be activated within five (5) business days of confirmed payment. Access credentials and the institutional login portal URL shall be communicated to Dr. Sunita Sharma at KIBRI, Kathmandu, Nepal.
- Quality & Acceptance: The Buyer reserves the right to inspect all print copies of The Economist upon arrival in Kathmandu. Any damaged, missing, or incorrect issues must be reported to the Supplier within fourteen (14) days of delivery. The Supplier shall replace defective or missing items at no additional cost within thirty (30) days of the claim.
- Intellectual Property: All content of The Economist magazine, including articles, graphics, data visualizations, and the annual outlook report, remains the exclusive intellectual property of Economist Media Group. The Buyer's license under this Purchase Order is limited to internal academic and research use within the KIBRI premises in Kathmandu, Nepal. Redistribution, resale, or public display beyond the Institute's authorized users is strictly prohibited.
- Force Majeure: Neither party shall be held liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters (including seismic events relevant to the Kathmandu Valley region), government-imposed trade restrictions, international shipping disruptions, or pandemics.
- Governing Law & Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of the United Kingdom. Any disputes arising from or in connection with this Purchase Order shall first be attempted to be resolved through amicable negotiation. If unresolved within sixty (60) days, the dispute shall be submitted to arbitration under the rules of the International Chamber of Commerce (ICC), with the seat of arbitration in London, United Kingdom. The language of arbitration shall be English.
- Validity: This Purchase Order is valid for acceptance until 14 July 2025. If not accepted by the Supplier within this period, the Purchase Order shall automatically lapse and must be reissued.
- Amendments: Any modification to this Purchase Order must be made in writing and signed by authorized representatives of both the Buyer in Kathmandu, Nepal, and the Supplier in London, United Kingdom.
