2.1 This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon signature by both parties. All terms herein shall be governed by the commercial laws of the Kingdom of Saudi Arabia, with particular reference to the regulations applicable to international procurement in Saudi Arabia, Jeddah.

2.2 The Seller warrants that all copies of The Economist magazine, digital content, and associated publications delivered under this Purchase Order shall be genuine, unaltered, and in full compliance with the intellectual property rights held by The Economist Media & Publishing Group. No counterfeit or pirated materials shall be accepted.

2.3 Delivery of all physical print materials shall be made to the Buyer's registered office at King Fahd Road, Al-Shati District, Jeddah, Saudi Arabia. The Seller shall bear all shipping, customs clearance, and import duties associated with delivering The Economist publications into the Kingdom of Saudi Arabia. Delivery to Saudi Arabia, Jeddah shall be completed within 10 business days of the date of this Purchase Order for initial shipments, and within 5 business days for recurring monthly deliveries.

2.4 Payment shall be made via bank transfer to the Seller's designated account within thirty (30) calendar days of the invoice date. The Buyer shall issue payment in Saudi Riyal (SAR) at the prevailing exchange rate on the date of invoicing, or in British Pounds (GBP) at the Seller's discretion. All payments are subject to the financial regulations of the Saudi Central Bank (SAMA) and the relevant foreign exchange controls applicable in Saudi Arabia, Jeddah.

2.5 The digital access licenses for The Economist platform shall be activated no later than five (5) business days following confirmation of this Purchase Order. The Seller shall provide the Buyer with all necessary login credentials, API keys, and user management tools to administer access for the 50 designated users based in Jeddah and other Saudi Arabian locations.

2.6 The Buyer reserves the right to inspect all delivered materials upon arrival in Jeddah, Saudi Arabia. Any damaged, incomplete, or non-conforming items shall be reported to the Seller within seven (7) calendar days of delivery. The Seller shall replace or refund non-conforming items at no additional cost to the Buyer.

2.7 This Purchase Order is valid for a period of twelve (12) months from the date of issue. Renewal shall be subject to mutual written agreement between both parties. The Buyer may terminate this Purchase Order with thirty (30) days' written notice, in which case the Seller shall refund any pre-paid amounts for undelivered The Economist publications or unused digital access periods on a pro-rata basis.

2.8 All content from The Economist acquired under this Purchase Order is licensed for internal, non-commercial use by the Buyer's employees and authorized representatives within the Kingdom of Saudi Arabia. Redistribution, republication, or commercial exploitation of The Economist content without prior written consent from the Seller is strictly prohibited.

2.9 In the event of any dispute arising from this Purchase Order, both parties agree to first attempt resolution through good-faith negotiation. Should negotiation fail, the dispute shall be submitted to arbitration in Jeddah, Saudi Arabia, in accordance with the rules of the Saudi Center for Commercial Arbitration (SCCA). The language of arbitration shall be English.

2.10 The Seller acknowledges that the Buyer operates in compliance with all applicable Saudi Arabian regulations, including but not limited to the Anti-Boycott Law, the Anti-Money Laundering Law, and the regulations of the Saudi Communications and IT Commission (CITC) regarding digital content access in Saudi Arabia, Jeddah.

All physical shipments of The Economist publications destined for Saudi Arabia, Jeddah shall be routed through the Jeddah Islamic Port or King Abdulaziz International Airport (JED), as applicable. The Seller shall ensure that all customs documentation, including commercial invoices, packing lists, and certificates of origin, are prepared in accordance with Saudi Customs Authority (ZATCA) requirements. The Buyer's customs broker in Jeddah shall be notified of all incoming shipments at least 48 hours prior to arrival.
