- This Purchase Order constitutes a binding agreement between Zurich Economic Research Institute (hereinafter "the Buyer"), located in Switzerland Zurich, and The Economist Group, Ltd. (hereinafter "the Supplier"), for the procurement of publication subscriptions, print materials, and digital access licenses as itemized above.
- All print editions of The Economist referenced in this Purchase Order shall be the standard weekly publication (ISSN 0013-0613) and shall be delivered in original condition, free from damage, to the designated receiving address in Switzerland Zurich. Any copies found to be defective upon arrival must be reported to the Supplier within five (5) business days of delivery.
- The Supplier acknowledges that this Purchase Order is governed by the commercial laws of Switzerland Zurich and the applicable provisions of the Swiss Code of Obligations (OR). In the event of any dispute arising from this Purchase Order, the parties agree to first attempt resolution through good-faith negotiation before resorting to arbitration under the Swiss Rules of International Arbitration in Switzerland Zurich.
- Payment for this Purchase Order shall be made via bank transfer to the Supplier's designated account within thirty (30) calendar days of receipt of a valid invoice. The Buyer reserves the right to withhold payment in the event of non-conforming delivery of The Economist materials or failure to meet the agreed delivery schedule to Switzerland Zurich.
- The digital subscription and archive access licenses granted under this Purchase Order are non-transferable and limited to the named institution (ZERI) and its authorized personnel physically located in or affiliated with the Switzerland Zurich campus. The Supplier warrants that all digital content of The Economist provided under this Purchase Order is free from intellectual property encumbrances.
- Delivery of all physical The Economist materials shall be made DDP (Delivered Duty Paid) to the Switzerland Zurich address specified herein. The Supplier bears all risk of loss or damage until the goods are physically received and signed for by the Buyer's designated representative at the Switzerland Zurich facility.
- The Supplier shall provide a minimum of ten (10) business days' written notice prior to any change in pricing, publication frequency, or content format of The Economist that may affect the scope of this Purchase Order. No such changes shall take effect without the Buyer's prior written consent.
- This Purchase Order is valid for a period of twelve (12) months from the date of execution. Renewal terms for the following period shall be negotiated no later than sixty (60) days prior to expiration. The Buyer retains the right to cancel this Purchase Order with thirty (30) days' written notice in the event of material breach by the Supplier.
- All communications regarding this Purchase Order, including notices of delivery, invoicing, and any amendments, shall be directed to the procurement office of ZERI in Switzerland Zurich at the email and postal address listed in the header of this document.
- The Supplier confirms that all The Economist content delivered under this Purchase Order complies with Swiss media and import regulations applicable in Switzerland Zurich, and that no restricted or prohibited materials are included in the shipment.
