1. Purchase Order Description

This Purchase Order is issued by the Abu Dhabi Economic Research Institute (hereinafter referred to as the "Buyer") to The Economist Media Distribution LLC (hereinafter referred to as the "Supplier") for the procurement of institutional subscriptions, printed editions, and digital access packages of The Economist publication. This Purchase Order governs all terms, conditions, pricing, and delivery obligations associated with the acquisition of The Economist materials for use within the United Arab Emirates, specifically Abu Dhabi, for a subscription period commencing 1 August 2025 and concluding 31 July 2026.

All prices are quoted in United Arab Emirates Dirhams (AED). A Value Added Tax (VAT) of 5% as mandated by the Federal Tax Authority of the United Arab Emirates has been applied to the subtotal. This Purchase Order is subject to the VAT regulations in force in Abu Dhabi, United Arab Emirates.

3. Delivery Terms and Location

All physical copies of The Economist, including weekly printed editions, special reports, and the World in Numbers annual publication, shall be delivered to the Buyer's premises located at Al Maryah Island, Tower 7, Floor 12, Abu Dhabi, United Arab Emirates. Delivery shall be made via the Supplier's designated logistics partner within the United Arab Emirates. Digital access credentials and archive licenses for The Economist shall be provisioned electronically to the Buyer's designated IT administrator no later than five (5) business days prior to the subscription commencement date. The Supplier warrants that all printed materials of The Economist shall be in pristine condition, free from damage, and conform to the latest edition specifications at the time of dispatch.

4. Payment Terms

Payment Method: Bank transfer to the Supplier's designated corporate account in Abu Dhabi, United Arab Emirates.
Payment Schedule: 40% advance payment upon acceptance of this Purchase Order; 60% balance payment within thirty (30) calendar days of confirmed delivery of all items.
Bank Details: The Supplier shall provide updated bank account information in writing prior to the processing of any payment under this Purchase Order.
Currency: All payments shall be made in United Arab Emirates Dirhams (AED). No foreign currency conversion shall apply.
Late Payment: A penalty of 1.5% per month shall be applied to any outstanding balance exceeding the stipulated payment terms, in accordance with commercial practice in the United Arab Emirates.

5. Terms and Conditions

This Purchase Order is governed by and shall be construed in accordance with the laws of the United Arab Emirates and the specific commercial regulations applicable in Abu Dhabi.
The Supplier warrants that all copies of The Economist provided under this Purchase Order are authentic, legally distributed, and free from any intellectual property encumbrances.
The Buyer reserves the right to inspect all delivered items of The Economist within seven (7) business days of receipt. Any discrepancies, damaged copies, or missing issues must be reported in writing to the Supplier within this period.
This Purchase Order may be amended only by mutual written agreement between the Buyer and the Supplier. No verbal modifications shall be binding.
In the event of any dispute arising from this Purchase Order, both parties agree to first attempt resolution through good-faith negotiation. Should negotiation fail, the dispute shall be referred to the competent courts of Abu Dhabi, United Arab Emirates.
The Supplier shall maintain full confidentiality regarding the Buyer's procurement details, subscription volumes, and internal usage data related to The Economist materials.
This Purchase Order shall remain in full force and effect for the duration of the subscription period specified herein, unless terminated earlier by mutual consent or in accordance with the termination clauses set forth in the master service agreement between the parties.

6. Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the procurement of The Economist publications and services in Abu Dhabi, United Arab Emirates.
