- This Purchase Order is issued by Gulf Coast Economic Analytics Group, LLC, a registered entity operating in United States Houston, Texas, and constitutes a binding offer to purchase the Economist products and services listed herein. Acceptance by the supplier, Economist Media & Research Distribution, Inc., shall be confirmed in writing within five (5) business days of receipt of this Purchase Order.
- All physical Economist publications, including the annual subscription, special reports, and printed materials, shall be delivered to the buyer's premises at 1200 Smith Street, Suite 4500, United States Houston, TX 77002. Digital Economist content, including platform licenses, webcast access, and data API credentials, shall be provisioned electronically no later than the Required Delivery Date stated above.
- The Economist consulting retainer (Item #3) requires the supplier to dispatch a qualified Economist analyst to United States Houston for four (4) quarterly sessions of no fewer than six (6) hours each. Travel and lodging within the United States Houston metropolitan area shall be borne by the supplier as included in the unit price. The buyer shall provide a conference room and necessary technical equipment at the United States Houston office.
- Payment shall be made via wire transfer to the account designated by the supplier within thirty (30) calendar days of the invoice date. Late payments shall accrue interest at a rate of 1.5% per month. All amounts are denominated in United States Dollars (USD).
- The supplier warrants that all Economist content, including the Economist Intelligence Unit reports and the Economist Data Platform, shall be current, accurate to the best of the supplier's knowledge, and free from material defects at the time of delivery. Any Economist publication found to be damaged or defective upon arrival in United States Houston shall be replaced at no additional cost within ten (10) business days.
- This Purchase Order is governed by the laws of the State of Texas, United States, and the applicable federal commercial statutes. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in United States Houston, Texas, in accordance with the rules of the American Arbitration Association.
- The supplier shall maintain all Economist intellectual property rights. The buyer's license to use Economist materials is limited to internal business purposes at the United States Houston facility and does not permit redistribution, republication, or sublicensing of any Economist content without prior written consent.
- This Purchase Order may be amended only by mutual written agreement of both parties. No oral modifications to the scope, pricing, or delivery terms of this Purchase Order shall be valid or enforceable.
- The supplier acknowledges that this Purchase Order is subject to the buyer's internal procurement policies as a United States Houston-based entity and that all deliverables must comply with applicable United States federal and Texas state regulations regarding commercial transactions.
