1. This Purchase Order constitutes a binding agreement between Corporación Editorial del Caribe, C.A. (hereinafter "the Buyer") and Economist Group Distribution Ltd. 2. All print materials, including The Economist weekly issues, back-issue archives, and supplementary publications, shall be delivered to the designated address in Venezuela Caracas no later than the Required Delivery Date specified above. The Seller assumes full responsibility for international logistics, customs documentation, and any applicable import duties in the Republic of Venezuela under the DDP Incoterm.
3. The digital access license for The Economist platform shall be activated within five (5) business days of confirmed payment. The Buyer shall receive administrative credentials permitting management of up to fifty (50) concurrent user accounts, all of which shall be restricted to personnel physically located at the Venezuela Caracas facility or its approved satellite offices within the Caracas metropolitan area.
4. Payment shall be remitted in United States Dollars (USD) via international wire transfer to the Seller's designated bank account within forty-five (45) calendar days of the invoice date. The Buyer acknowledges that payment processing from Venezuela Caracas may be subject to additional banking verification periods due to local regulatory requirements, and the Seller agrees to a grace period of ten (10) additional business days in such cases.
5. The Seller warrants that all copies of The Economist provided under this Purchase Order are authentic, unaltered, and in pristine condition. Any damaged or defective print materials discovered upon delivery in Venezuela Caracas shall be replaced at the Seller's sole expense within fifteen (15) business days.
6. Intellectual property rights to all content published in The Economist remain the exclusive property of The Economist Group. The Buyer's license under this Purchase Order grants internal, non-transferable use only. Redistribution, republication, or commercial exploitation of The Economist content is strictly prohibited without prior written consent from the Seller.
7. This Purchase Order is governed by the laws of the Republic of Venezuela and, where applicable, the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes arising from this agreement shall be resolved through arbitration in Caracas, Venezuela, in accordance with the rules of the Centro de Arbitraje y Mediación de la Cámara de Comercio de Caracas.
8. The Seller shall provide a detailed commercial invoice and packing list prior to shipment. All documentation must be in English and Spanish to facilitate customs clearance at the Puerto de La Guaira or the Simón Bolívar International Airport in Venezuela Caracas.
9. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the Buyer shall be entitled to a pro-rata refund for unused digital access periods, less any non-recoverable shipping costs already incurred for print materials dispatched to Venezuela Caracas.
10. This Purchase Order, together with any attached specifications and the Seller's standard terms of sale, constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior negotiations, representations, or agreements relating to the procurement of The Economist publications for the Venezuela Caracas office.
