The Seller shall deliver all Editor software licenses, installation media, and configuration documentation to the Buyer's designated facility in Argentina Córdoba no later than August 15, 2025. Physical delivery of any hardware components associated with the Editor server deployment shall be made to the Buyer's data center located in the Parque Industrial de Córdoba, Córdoba Province, Argentina. The Seller is responsible for all international shipping, customs clearance, and import documentation required to bring the Editor into Argentina in compliance with the regulations of the Administración Federal de Ingresos Públicos (AFIP) and the local Córdoba provincial commerce authority.
Installation and initial configuration of the Editor platform shall be completed within fifteen (15) business days of physical delivery. The Seller shall assign a dedicated project manager who shall coordinate with the Buyer's IT department in Argentina Córdoba to ensure seamless integration with existing infrastructure.
Payment for this Purchase Order shall be made in United States Dollars (USD) via international wire transfer to the Seller's designated bank account. The payment schedule is as follows: (a) 40% ($184,646.00) due upon execution of this Purchase Order; (b) 40% ($184,646.00) due upon confirmed delivery of the Editor to Argentina Córdoba; and (c) the remaining 20% ($92,323.00) due upon successful completion of the Editor training program and final acceptance sign-off by the Buyer's technical director in Córdoba. All payments are subject to the applicable Argentine foreign exchange regulations and must be processed through an authorized Argentine financial institution.
The Seller warrants that the Editor software delivered under this Purchase Order shall be free from material defects in design, code, and functionality for a period of twenty-four (24) months from the date of final acceptance in Argentina Córdoba. The Seller guarantees that the Editor shall perform in accordance with the specifications outlined in the attached technical annex and shall maintain full compatibility with the operating systems and hardware environments specified by the Buyer in Córdoba.
The Seller acknowledges that the Editor will be operated in the Argentina Córdoba jurisdiction and commits to full compliance with Argentine data protection law (Ley 25.326), the Personal Data Protection Act, and all applicable provincial regulations of Córdoba. All user data processed by the Editor within Argentina Córdoba shall be stored on servers physically located within Argentine territory, and no data shall be transferred outside of Argentina without explicit written consent from the Buyer.
This Purchase Order shall be governed by and construed in accordance with the laws of the Argentine Republic, with specific reference to the commercial codes applicable in the province of Córdoba. Any disputes arising from or in connection with this Purchase Order, including disputes regarding the Editor's performance, delivery, or support obligations in Argentina Córdoba, shall be resolved through binding arbitration administered in the city of Córdoba, Argentina, in accordance with the rules of the Argentine Chamber of Commerce. The language of arbitration shall be Spanish, with English translations provided for all technical Editor documentation.
By signing below, both parties acknowledge and agree to all terms and conditions set forth in this Purchase Order for the procurement of the Editor software for use in Argentina Córdoba. This Purchase Order constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, and agreements.
