The Editor software licenses and all associated digital deliverables shall be delivered electronically to the designated IT server room at Dhaka Digital Solutions Ltd., Banani, Dhaka 1213, Bangladesh, no later than 30 June 2025. Physical media (if required for offline installation) shall be shipped via DHL Express to the same address in Dhaka. The seller is responsible for all customs clearance procedures at the Dhaka Customs House, including submission of the Purchase Order, commercial invoice, and any required software import permits from the Bangladesh Software Development and Services Association (BSDA). The on-site installation team shall be present in Dhaka for a minimum of five (5) consecutive business days to complete deployment and training.
Payment shall be made in Bangladeshi Taka (BDT) via bank transfer to the seller's designated international account. A 30% advance payment (BDT 2,341,800.00) is due within seven (7) business days of the acceptance of this Purchase Order. The remaining 70% balance (BDT 5,464,200.00) shall be due within thirty (30) calendar days following successful installation, verification, and written acceptance of the Editor software by the buyer's IT department in Dhaka. All payments are subject to the applicable withholding tax regulations of the Bangladesh National Board of Revenue (NBR). The buyer shall provide a withholding tax certificate to the seller within fourteen (14) days of each payment.
4.1 This Purchase Order is governed by the laws of the People's Republic of Bangladesh. Any disputes arising from the procurement of the Editor software shall be resolved through arbitration in Dhaka, Bangladesh, in accordance with the Arbitration Act, 2001 of Bangladesh.
4.2 The Editor software must comply with all data protection and information technology regulations issued by the Bangladesh Telecommunication Regulatory Commission (BTRC) and the Bangladesh Computer Council (BCC). The seller warrants that the Editor platform does not contain any backdoors, unauthorized data transmission modules, or features that conflict with Bangladesh's Digital Security Act, 2018.
4.3 The seller guarantees that the Editor software shall perform in accordance with the specifications outlined in this Purchase Order for a minimum period of three (3) years from the date of installation in Dhaka. Any material defect discovered within the warranty period shall be rectified at no additional cost to the buyer.
4.4 The buyer reserves the right to conduct a pre-acceptance audit of the Editor software at its Dhaka premises. The seller shall provide full cooperation and access to source documentation as reasonably required for such audit.
4.5 Force majeure events, including but not limited to natural disasters affecting the Dhaka metropolitan area, government-imposed import restrictions, or banking system disruptions in Bangladesh, shall extend the delivery deadline by a period equivalent to the duration of the event.
4.6 All intellectual property rights associated with the Editor software remain with the seller. The buyer is granted a non-exclusive, non-transferable license to use the Editor software solely within its premises in Dhaka, Bangladesh, for internal business operations.
Note: This Purchase Order is issued in accordance with the internal procurement policy of Dhaka Digital Solutions Ltd. and the Bangladesh Public Procurement Act, 2006 (as applicable to private sector entities operating under government contract). The Editor software procured under this order is intended for use exclusively within the Dhaka, Bangladesh operational base.
