1. Delivery & Location: All physical media, license keys, and installation materials for the Editor software suite shall be delivered to the buyer's primary studio facility located at 2847 West Broadway, Suite 410, Vancouver, British Columbia, Canada. Digital delivery of the Editor software packages shall be completed no later than June 20, 2025. On-site installation services in Vancouver, Canada, are scheduled for the week of June 23, 2025.
2. Payment Terms: Payment of the total Purchase Order amount of CAD $42,504.00 shall be made within thirty (30) days of the invoice date via electronic funds transfer (EFT) to the vendor's designated Canadian bank account. Late payments shall incur interest at a rate of 1.5% per month, in accordance with the British Columbia Interest Act and applicable Canadian commercial law.
3. Licensing & Usage: The Editor software licenses purchased under this Purchase Order are restricted to use exclusively by authorized personnel of Northwest Digital Media Solutions Inc. operating from the Vancouver, Canada, facility. Redistribution, sublicensing, or use of the Editor software outside the licensed workstation count is strictly prohibited. The Editor Text module's multilingual support (English and French) is included to comply with Canadian federal bilingualism guidelines for client deliverables.
4. Warranties & Support: The vendor warrants that the Editor software suite shall be free from material defects in design and performance for a period of twelve (12) months from the date of installation in Vancouver, Canada. Priority technical support shall be available Monday through Friday, 8:00 AM to 6:00 PM Pacific Time, with a guaranteed response time of four (4) business hours for critical Editor malfunctions.
5. Cancellation & Returns: This Purchase Order may be cancelled in writing by either party prior to the delivery of the Editor software. After delivery and installation, cancellation is subject to a 15% restocking fee. All returns must be processed through the vendor's Vancouver, Canada, logistics partner.
6. Governing Law: This Purchase Order and all transactions related to the Editor software procurement shall be governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any disputes shall be resolved through arbitration in Vancouver, British Columbia, Canada, in accordance with the BC Arbitration Act.
7. Data Privacy & Compliance: The vendor acknowledges that all project data processed through the Editor software in Vancouver, Canada, is subject to the Canadian Personal Information Protection and Electronic Documents Act (PIPEDA) and the British Columbia Freedom of Information and Protection of Privacy Act (FIPPA). The Editor Cloud Sync module shall store all data on servers located within Canadian borders.
