This Purchase Order is issued by Shanghai MediaWorks International Co., Ltd. The Editor shall be responsible for the end-to-end editorial management of all multimedia content, including but not limited to video post-production, script refinement, subtitle localization for Mandarin Chinese and English, and final quality assurance of all broadcast and digital media assets produced at the China Shanghai studio.
The Editor engaged under this Purchase Order must possess a minimum of eight (8) years of professional editorial experience in the broadcast and digital media industry, with demonstrated proficiency in Adobe Premiere Pro, DaVinci Resolve, Avid Media Composer, and Final Cut Pro. Additionally, the Editor must hold a valid work permit and residence permit for the People’s Republic of China, specifically authorized for employment in the Shanghai municipality. The Editor shall report directly to the Director of Content Operations based in China Shanghai and shall adhere to all editorial standards, compliance guidelines, and content regulations established by the National Radio and Television Administration (NRTA) of China.
The Editor engaged pursuant to this Purchase Order shall perform the following duties at the Buyer’s facility in China Shanghai:
- Manage the complete editorial workflow for a minimum of twelve (12) production projects per calendar quarter, ensuring all deliverables meet the Buyer’s quality benchmarks and the regulatory standards of China Shanghai’s media broadcasting authorities.
- Oversee a team of no fewer than six (6) junior editors and assistant editors based at the China Shanghai production center, providing daily supervision, creative direction, and performance evaluation.
- Ensure all editorial content complies with the Cybersecurity Law of the People’s Republic of China, the Film and Television Administration regulations, and all applicable local ordinances within the Shanghai municipality.
- Coordinate with the Buyer’s marketing, legal, and compliance departments in China Shanghai to validate all content prior to public release or broadcast distribution.
- Implement and maintain the Buyer’s editorial style guide, ensuring consistency across all media formats produced in the China Shanghai facility.
- Attend bi-weekly editorial strategy meetings held at the Buyer’s headquarters in China Shanghai and provide written progress reports to the Director of Content Operations.

Payment shall be made in United States Dollars (USD) via international wire transfer to the Supplier’s designated bank account. The Buyer shall remit thirty percent (30%) of the total Purchase Order value as an advance payment within ten (10) business days of mutual execution of this document. The remaining seventy percent (70%) shall be disbursed in three equal quarterly installments, due on the first business day of each subsequent quarter. All payments are subject to the Supplier’s timely submission of valid tax invoices compliant with the tax regulations of the People’s Republic of China.
The Editor shall commence active service at the Buyer’s China Shanghai facility no later than August 1, 2025. The Supplier guarantees that the Editor will have completed all immigration, work permit, and onboarding procedures in China Shanghai prior to this commencement date. This Purchase Order constitutes a twelve (12)-month engagement, with the option for the Buyer to extend the Editor’s contract for an additional twelve (12) months upon mutual written agreement no fewer than sixty (60) days prior to the expiration of the initial term.
Either party may terminate this Purchase Order with a written notice of ninety (90) days. In the event of termination, the Editor shall be required to complete a full handover of all in-progress editorial projects, source files, and production documentation to the Buyer’s designated successor at the China Shanghai facility. All proprietary materials, client data, and editorial assets created during the term of this Purchase Order shall remain the exclusive property of the Buyer and shall be returned or securely deleted in accordance with China’s Data Security Law.
This Purchase Order shall be governed by and construed in accordance with the laws of the People’s Republic of China. Any disputes arising from or in connection with this Purchase Order, including the performance of the Editor’s duties in China Shanghai, shall be resolved through binding arbitration administered by the Shanghai International Arbitration Center (SHIAC) in accordance with its then-current arbitration rules. The seat of arbitration shall be Shanghai, China. The language of arbitration shall be English. The arbitral award shall be final and binding upon both parties.
The Editor, while performing services under this Purchase Order in China Shanghai, shall be bound by a strict confidentiality agreement. All editorial content, client information, production schedules, and internal communications accessed by the Editor during the course of employment at the China Shanghai facility are classified as confidential and proprietary. The Editor shall not disclose, reproduce, or distribute any such information to any third party without the prior written consent of the Buyer. All intellectual property created by the Editor during the term of this Purchase Order shall be deemed a work made for hire and shall vest exclusively in the Buyer.
