• 3.1 This Purchase Order constitutes a binding agreement between Editorial Andina Publicaciones S.A.S. (hereinafter "the Buyer") and Editorial Solutions Pro S.A.S. (hereinafter "the Vendor") for the provision of professional Editor services as described in Section 2 of this document.
• 3.2 All editorial work shall be performed by a qualified Editor holding a minimum of five (5) years of professional experience in Spanish-language publishing, with demonstrated expertise in Colombian literary and academic editing standards. The Editor must be a legal resident of Colombia and shall conduct all in-person work from the Buyer's offices located in Bogotá D.C.
• 3.3 The Vendor shall assign a dedicated Editor who shall report directly to the Director of Publications at the Bogotá headquarters. The Editor shall maintain strict confidentiality regarding all manuscripts, unpublished content, and proprietary editorial strategies of the Buyer.
• 3.4 All deliverables shall be submitted in digital format (Microsoft Word and PDF) to the Buyer's editorial management system. Hard copies, if required, shall be delivered to the office at Calle 100 # 15-30, Chapinero, Bogotá D.C., Colombia.
• 3.5 Payment shall be processed via bank transfer to the Vendor's account in Colombian Pesos (COP) within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate established by the Colombian Superintendencia Financiera.
• 3.6 The Vendor is responsible for all applicable taxes, including IVA (Impuesto al Valor Agregado) at the current Colombian rate of 19%, which is included in the unit prices stated above. The Vendor shall issue a valid factura electrónica in compliance with the DIAN (Dirección de Impuestos y Aduanas Nacionales) regulations of Colombia.
• 3.7 In the event of non-performance or substandard editorial work, the Buyer reserves the right to request revisions at no additional cost. If revisions exceed two (2) rounds for any single title, the Buyer may terminate the affected portion of this Purchase Order with written notice.
• 3.8 This Purchase Order is governed by the commercial laws of the Republic of Colombia. Any disputes arising from this agreement shall be resolved through the commercial courts of Bogotá D.C., Colombia, or through arbitration at the Centro de Arbitraje y Conciliación de la Cámara de Comercio de Bogotá, at the Buyer's discretion.
• 3.9 The Editor shall comply with all labor regulations of Colombia, including but not limited to the Código Sustantivo del Trabajo. The Vendor warrants that the Editor is properly registered with the Colombian social security system (Pensión, Salud, and ARL).
• 3.10 This Purchase Order may be amended only by mutual written agreement of both parties. No oral modifications shall be valid or enforceable.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the procurement of Editor services to be utilized in Colombia Bogotá. This document is valid for a period of ninety (90) days from the date of issue, after which it shall expire unless renewed in writing.
