This Purchase Order is issued by Medellín Digital Solutions S.A.S., a technology firm headquartered in Colombia Medellín, for the acquisition of a comprehensive Editor software platform. The Editor in question is a professional-grade text, code, and content management Editor designed to support the editorial and development workflows of our Medellín-based operations. The Editor shall be deployed across all workstations located in our primary office in the El Poblado district of Medellín, Antioquia, Colombia, and shall be configured to operate in compliance with all applicable Colombian data protection regulations (Ley 1581 de 2012) and international software licensing standards.
The Editor software package includes the core Editor application, advanced plugin modules, cloud synchronization services, and a dedicated on-site implementation team that will travel to Colombia Medellín to ensure proper installation, configuration, and staff training. The Editor must support multilingual capabilities, including full Spanish (Colombian) localization, to accommodate the bilingual workforce operating in Medellín.

The Editor software licenses and all associated digital deliverables shall be delivered electronically no later than July 1, 2025. The on-site deployment team from EditorPro International Ltd. shall arrive in Colombia Medellín no later than July 8, 2025, to commence the physical installation, network integration, and Editor configuration at the buyer's premises in El Poblado, Medellín. All Editor-related hardware peripherals (if any) shall be shipped via air freight to the Medellín José María Córdova International Airport (MDE) with all customs documentation pre-cleared in accordance with Colombian import regulations administered by DIAN (Dirección de Impuestos y Aduanas Nacionales).
The Editor deployment in Colombia Medellín shall be completed, including all staff training sessions, no later than July 15, 2025. The buyer reserves the right to conduct a 30-day acceptance period following the completion of the Editor installation before final payment is released.
5. PAYMENT TERMS- 40% Advance Payment: $54,359.20 USD due within 10 business days of Purchase Order acceptance, payable via international wire transfer to the seller's designated bank account.
- 40% Upon Delivery: $54,359.20 USD due upon confirmed delivery and installation of the Editor software at the Colombia Medellín site.
- 20% Final Payment: $27,179.60 USD due 30 days after the successful completion of the Editor acceptance period and issuance of the final acceptance certificate by the buyer's IT department.
- All payments shall be made in United States Dollars (USD) to the bank account specified in the seller's commercial invoice. The buyer shall bear any applicable Colombian withholding taxes as mandated by the Colombian tax code (Estatuto Tributario).
- This Purchase Order is governed by the commercial laws of the Republic of Colombia and, where applicable, the United Nations Convention on Contracts for the International Sale of Goods (CISG).
- The Editor software shall be provided with a full intellectual property license granting the buyer perpetual, non-exclusive, non-transferable rights to use the Editor within the Colombia Medellín office premises for up to 50 concurrent users.
- The seller warrants that the Editor software shall be free from material defects, shall perform in accordance with the published Editor specification document, and shall receive security patches and updates for a minimum of 24 months from the date of deployment in Medellín.
- Any disputes arising from this Purchase Order shall be resolved through binding arbitration in Medellín, Antioquia, Colombia, in accordance with the rules of the Centro de Arbitraje y Conciliación de la Cámara de Comercio de Medellín.
- The seller shall comply with all applicable Colombian labor, data protection, and telecommunications regulations during the on-site Editor deployment in Colombia Medellín.
- Force majeure events, including but not limited to natural disasters affecting the Antioquia region, shall extend delivery timelines by a mutually agreed period not exceeding 60 days.
- This Purchase Order becomes effective upon written acceptance by both parties and remains valid for a period of 12 months from the date of issue.
