This Purchase Order is issued by SGNE for the acquisition, licensing, and deployment of a professional-grade Editor software suite. The Editor in question is a comprehensive text, document, and code editing platform designed to support the editorial, journalistic, and technical writing operations of SGNE’s offices located in Kinshasa, DR Congo. The Editor must be fully compatible with the local infrastructure conditions in Kinshasa, including intermittent power supply, limited broadband connectivity, and multilingual support for French, Lingala, Swahili, and English.

The Editor software shall include, but not be limited to: a full-featured word processing module, a source code editor with syntax highlighting for at least twelve programming languages, a document versioning and collaboration engine, offline editing capability with cloud synchronization, and an integrated proofreading toolset supporting the French language as the primary working language in Kinshasa. All Editor components must be delivered as perpetual licenses with a minimum of three (3) years of included technical support and software updates.

All Editor software licenses, installation media, and documentation shall be delivered to the SGNE headquarters at 12, Avenue de la Paix, Gombe, Kinshasa, DR Congo, no later than 30 July 2025. The on-site installation and training engagement (Item 05) shall be scheduled between 4 August 2025 and 8 August 2025, coordinated with the IT department of SGNE in Kinshasa. The supplier shall bear all international shipping, customs clearance, and import duties associated with the physical delivery of any hardware components to DR Congo Kinshasa. Digital delivery of Editor license keys and download credentials shall be completed within five (5) business days of full payment confirmation.

• 50% Advance Payment: $23,175.00 (66,048,750 CDF) due within ten (10) business days of Purchase Order acceptance, payable via international wire transfer to the supplier’s designated bank account.
• 40% Upon Delivery: $18,540.00 (52,839,000 CDF) due within fifteen (15) business days of confirmed delivery and installation of the Editor suite in Kinshasa.
• 10% Retention: $4,635.00 (13,209,750 CDF) due ninety (90) days after successful completion of the training engagement and a written acceptance certificate issued by SGNE’s IT Director.
• All payments shall be made in US Dollars (USD) via SWIFT transfer. The buyer shall be responsible for any local banking fees in DR Congo Kinshasa; the seller shall cover fees on the receiving end.

• This Purchase Order is governed by the commercial laws of the Democratic Republic of the Congo and, where applicable, the United Nations Convention on Contracts for the International Sale of Goods (CISG).
• The Editor software shall be free from all intellectual property encumbrances. The supplier warrants that the Editor does not infringe upon any third-party patents, copyrights, or trade secrets.
• In the event of a defect in the Editor software or failure to meet the specifications outlined in Section 3, the supplier shall, at its own cost, repair, replace, or refund the affected component within thirty (30) days of written notice from SGNE in Kinshasa.
• Force majeure events, including but not limited to civil unrest, port closures at the Port of Matadi, or telecommunications disruptions affecting DR Congo Kinshasa, shall extend delivery deadlines by a period equivalent to the duration of the disruption.
• All disputes arising from this Purchase Order shall be resolved through arbitration in Kinshasa, DR Congo, in accordance with the rules of the Arbitration Centre of the Congo (CAC), with proceedings conducted in French.
• The supplier shall comply with all applicable data protection regulations in force in the Democratic Republic of the Congo, including Law No. 08/012 of 2008 on the Protection of Personal Data.

By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the procurement and deployment of the Editor software suite in Kinshasa, DR Congo. This document, together with any attached specifications and the supplier’s standard terms of service, forms the complete agreement between the parties.
