This Purchase Order is issued by Nile Delta Publishing & Media Group, headquartered in Egypt Cairo, for the acquisition of a comprehensive professional Editor software suite. The Editor software suite, all associated plugins, and the Cloud Collaboration Module shall be delivered and installed at the buyer's primary office located at 142 Tahrir Square, Downtown District, Egypt Cairo, no later than 05 July 2025. The seller is responsible for all logistics, customs clearance, and import duties applicable to software media and documentation entering Egypt. The on-site installation team shall coordinate with the buyer's IT department in Egypt Cairo to ensure seamless integration with existing network infrastructure, server environments, and internal content management systems.
- Acceptance: This Purchase Order constitutes a binding offer. The seller shall confirm acceptance in writing within five (5) business days of receipt. Failure to confirm within this period shall render this Purchase Order null and void.
- Payment: Payment of the full grand total of EGP 2,731,725.00 shall be made within thirty (30) calendar days of the date of invoice, via bank transfer to the seller's designated account. All payments shall be processed in Egyptian Pounds (EGP) through a licensed Egyptian commercial bank.
- Warranty: The Editor software suite is warranted to be free from defects in design, code, and functionality for a period of twelve (12) months from the date of successful installation in Egypt Cairo. Any defects identified during the warranty period shall be remedied at no additional cost to the buyer.
- Intellectual Property: All intellectual property rights in the Editor software, its modules, plugins, and associated documentation remain the exclusive property of Global Editorial Solutions Ltd. The buyer is granted a non-transferable, non-exclusive license to use the Editor within the premises of its Egypt Cairo office for internal editorial operations only.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information, editorial content, and business data exchanged in connection with this Purchase Order. This obligation shall survive termination of the agreement for a period of three (3) years.
- Compliance with Egyptian Law: This Purchase Order and all transactions herein shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Egypt Cairo.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government sanctions, or disruptions to telecommunications infrastructure in Egypt Cairo.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice in the event of a material breach by the other party that remains uncured after a fifteen (15) day written notice period.
This Purchase Order is issued and authorised by the undersigned on behalf of Nile Delta Publishing & Media Group, Egypt Cairo. The seller's acceptance of this Purchase Order shall be confirmed by countersignature below.
