The Supplier shall deliver, install, and commission the complete Editor system at the designated facility in Japan Kyoto in accordance with the specifications outlined in this Purchase Order. The Editor workstation must be configured to meet the following Japan Kyoto-specific operational requirements:
4.1 All software licenses must be activated under Japanese regional settings, with language support for both Japanese (JIS X 0208) and English. The Editor software environment shall be pre-configured with color spaces compliant with Japanese broadcasting standards (ARIB STD-B24) as required for content produced in Japan Kyoto.
4.2 The hardware components must be rated for the ambient conditions of the Kyoto facility, including humidity levels typical of the Japan Kyoto climate (60–85% relative humidity during the rainy season, June through July). All components must carry JIS certification where applicable.
4.3 The Supplier's certified technician shall be present in Japan Kyoto for a minimum of five (5) business days to perform installation, network integration, color calibration, audio calibration, and comprehensive training for the institute's editorial staff. Training materials shall be provided in both Japanese and English.
4.4 The Editor system must be integrated with the existing content management infrastructure at the Kyoto Digital Arts & Media Institute, including the institute's internal fiber-optic network and the regional cloud storage node operated in the Kansai region of Japan.
5.1 This Purchase Order is governed by the United Nations Convention on Contracts for the International Sale of Goods (CISG) and the commercial laws of Japan. Any disputes arising from this Purchase Order shall be resolved through arbitration in Kyoto, Japan, under the rules of the Japan Commercial Arbitration Association.
5.2 The Supplier warrants that all Editor hardware and software delivered under this Purchase Order shall be free from defects in materials and workmanship for a period of thirty-six (36) months from the date of acceptance in Japan Kyoto.
5.3 Title and risk of loss for all items listed in this Purchase Order shall transfer to the Buyer upon confirmed delivery and physical acceptance at the Japan Kyoto facility address specified in Section 1.
5.4 The Supplier shall provide a minimum of five (5) years of priority technical support for the Editor system, with on-site response within 24 hours for critical failures at the Japan Kyoto location.
5.5 All import duties, consumption tax (10% JCT), and customs fees associated with the delivery of the Editor equipment to Japan Kyoto are included in the total amount specified in Section 3. No additional charges shall be levied upon the Buyer.
5.6 The Buyer reserves the right to inspect all Editor components upon arrival in Japan Kyoto and to reject any items that do not conform to the specifications stated in this Purchase Order. Rejected items must be replaced or refunded within fourteen (14) calendar days.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the Editor system to be deployed in Japan Kyoto.
