This Purchase Order is issued by Shinagawa Media Production Co., Ltd. (hereinafter referred to as the "Buyer") to GlobalEditor Systems Inc. (hereinafter referred to as the "Supplier") for the procurement of a professional-grade Editor workstation and associated software licensing, to be deployed and operated within the metropolitan area of Japan Tokyo. All terms, conditions, and obligations set forth in this Purchase Order shall govern the transaction between the Buyer and the Supplier.

The Buyer hereby requests the Supplier to furnish, deliver, and configure the following Editor system. The Editor in question is a high-performance video and audio editing workstation designed for broadcast-quality post-production workflows. The Editor must meet the technical specifications outlined below and must be fully operational upon arrival at the Buyer's facility in Japan Tokyo.

The Supplier shall deliver the complete Editor package to the Buyer's production facility located at 8-14-14 Konan, Minato-ku, Tokyo 108-0075, Japan Tokyo, no later than August 15, 2025. Delivery shall be made via insured international freight with full tracking. The Supplier is responsible for all customs clearance procedures, import documentation, and compliance with Japanese regulatory standards for electronic equipment and software distribution within Japan Tokyo. The Editor must be unpacked, assembled, network-integrated, and fully calibrated at the Buyer's Japan Tokyo premises within five (5) business days of physical delivery. The Supplier's on-site technician shall conduct a minimum of three (3) days of hands-on training for the Buyer's editorial staff in Japan Tokyo, ensuring all operators are proficient in the Editor's full feature set.

Payment for this Purchase Order shall be made in accordance with the following schedule:

• 30% Advance Payment: $23,358.00 due within ten (10) business days of Purchase Order acceptance.
• 50% on Delivery: $38,930.00 due upon confirmed receipt and initial inspection of the Editor at the Japan Tokyo facility.
• 20% Final Payment: $15,572.00 due within thirty (30) days after successful completion of the on-site training and a 14-day performance validation period in Japan Tokyo.

All payments shall be made via wire transfer to the Supplier's designated bank account. The Buyer reserves the right to withhold the final payment if the Editor fails to meet the agreed-upon performance benchmarks during the validation period in Japan Tokyo.

The Supplier warrants that the Editor delivered under this Purchase Order shall be free from defects in materials and workmanship for a period of three (3) years from the date of acceptance in Japan Tokyo. The Editor software license is perpetual and includes all updates and patches released during the warranty period. The Supplier further warrants that the Editor complies with all applicable Japanese electrical safety standards (PSE certification), electromagnetic compatibility regulations, and data protection laws as enforced in Japan Tokyo. Any non-conformity discovered within the warranty period shall be remedied by the Supplier at no additional cost, with on-site service provided within 48 hours at the Buyer's Japan Tokyo location.

This Purchase Order constitutes the entire agreement between the Buyer and the Supplier regarding the procurement of the Editor for use in Japan Tokyo. Any modifications to this Purchase Order must be made in writing and signed by authorized representatives of both parties. In the event of a dispute arising from this Purchase Order, the parties agree to first attempt resolution through good-faith negotiation. Should negotiation fail, the dispute shall be submitted to arbitration under the rules of the Japan Commercial Arbitration Service (JCAS) in Tokyo, Japan Tokyo. The governing law for this Purchase Order shall be the laws of Japan, with specific reference to commercial and electronic commerce statutes applicable in Japan Tokyo.
