3. Item Description and Pricing

This Purchase Order is issued by Almaty Digital Solutions LLP, headquartered in Kazakhstan Almaty, for the acquisition of a professional-grade Editor software suite. 4. Delivery and Installation Terms

The Editor software package, including all associated plugins, cloud services, and documentation, shall be delivered electronically to the designated servers at the Kazakhstan Almaty office no later than 28 June 2025. Physical media (if required for offline installation) shall be couriered to the Kazakhstan Almaty address listed in Section 1. The supplier shall coordinate with the buyer's IT infrastructure team in Kazakhstan Almaty to ensure seamless integration of the Editor into the existing corporate network. On-site deployment and training sessions for the Editor shall be conducted at the buyer's Kazakhstan Almaty premises over a period of three (3) business days, commencing on 1 July 2025.

5. Payment Terms

Payment for this Purchase Order shall be made via international wire transfer to the supplier's designated bank account within thirty (30) calendar days from the date of invoice issuance. A 10% advance payment (USD 11,358.40) is due upon confirmation of this Purchase Order. The remaining 90% balance (USD 102,225.60) shall be settled within 30 days of successful delivery and acceptance of the Editor software at the Kazakhstan Almaty site. All payments shall be made in US Dollars (USD) to the account details provided in the supplier's commercial invoice. Late payments shall incur a penalty of 1.5% per month as stipulated under the Civil Code of the Republic of Kazakhstan.

6. Terms and Conditions

This Purchase Order is governed by the commercial laws of the Republic of Kazakhstan and, where applicable, the United Nations Convention on Contracts for the International Sale of Goods (CISG).
The Editor software license is non-transferable and restricted to use solely within the Kazakhstan Almaty office and any affiliated branches of Almaty Digital Solutions LLP registered in Kazakhstan.
The supplier warrants that the Editor software shall be free from material defects, viruses, and malicious code for a period of twelve (12) months from the date of delivery.
All intellectual property rights associated with the Editor software remain the exclusive property of GlobalEditor Technologies Inc. The buyer is granted a limited, non-exclusive license for internal business operations in Kazakhstan Almaty.
In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through good-faith negotiation. Should negotiation fail, the dispute shall be submitted to the Arbitration Centre of the Astana International Financial Centre (AIFC), Kazakhstan, for binding arbitration.
The supplier shall comply with all applicable data protection regulations of the Republic of Kazakhstan, including the Law on Personal Data and Its Protection, when processing any user data associated with the Editor software deployment in Kazakhstan Almaty.
Force majeure events, including but not limited to natural disasters, government sanctions, or international trade restrictions affecting Kazakhstan Almaty, shall relieve the affected party from performance obligations for the duration of such event.
This Purchase Order constitutes the entire agreement between the parties regarding the procurement of the Editor software and supersedes all prior negotiations, representations, and agreements.

7. Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the Editor software acquisition in Kazakhstan Almaty. This document is valid only when signed and stamped by authorized representatives of both the buyer and the seller.
