The Supplier shall deliver all physical components, license keys, and documentation associated with the Editor no later than July 15, 2025, to the Buyer's designated facility in Morocco Casablanca. The Editor software package, including all associated hardware tokens and printed manuals, shall be shipped via internationally recognized courier service with full insurance coverage. Upon arrival at the Morocco Casablanca port or airport, the Buyer's logistics team will coordinate customs clearance in accordance with Moroccan import regulations. The Supplier is responsible for providing all necessary export documentation, certificates of origin, and software compliance declarations required by Moroccan customs authorities to ensure the Editor is cleared without delay.

Following physical delivery, the Supplier's certified technical team shall travel to Morocco Casablanca within five (5) business days to perform the on-site installation, network integration, and initial configuration of the Editor. The Editor must be fully operational and connected to the Buyer's internal server infrastructure at the Morocco Casablanca location within ten (10) business days of physical delivery.

Payment for this Purchase Order shall be made in accordance with the following schedule: a deposit of thirty percent (30%) of the grand total, amounting to USD 30,240.00, shall be remitted within ten (10) business days of the Buyer's written acceptance of this Purchase Order. The remaining seventy percent (70%), amounting to USD 70,560.00, shall be due within thirty (30) calendar days following the successful completion of the Editor installation, configuration, and acceptance testing at the Morocco Casablanca site. All payments shall be made via international wire transfer to the Supplier's designated bank account. The Buyer reserves the right to withhold final payment if the Editor fails to meet the performance specifications outlined in the attached technical annex.

The Supplier warrants that the Editor shall be free from material defects in design, code, and functionality for a period of twenty-four (24) months from the date of acceptance in Morocco Casablanca. The Supplier guarantees that the Editor shall maintain an uptime of no less than 99.5% during the contracted support period. In the event of a critical failure of the Editor that disrupts operations at the Morocco Casablanca facility, the Supplier shall respond within four (4) hours and deploy a resolution or workaround within twenty-four (24) hours. All warranty claims and support requests related to the Editor shall be directed to the Supplier's dedicated account manager and processed under the terms of this Purchase Order.

The Supplier acknowledges that the Editor will be deployed and operated within the jurisdiction of Morocco, specifically at the Buyer's premises in Morocco Casablanca. The Supplier shall ensure that the Editor complies with all applicable Moroccan data protection laws, including the Law 09-08 on the Protection of Personal Data, as well as any relevant regulations issued by the Moroccan Agency for Digital Transition. All data processed by the Editor at the Morocco Casablanca location shall be stored on servers physically located within Moroccan territory unless otherwise authorized in writing by the Buyer. The Supplier shall provide a Data Processing Agreement (DPA) prior to the Editor's go-live date in Morocco Casablanca.

This Purchase Order becomes binding upon the written or electronic acceptance by both parties. By signing below, the Buyer authorizes the Supplier to proceed with the preparation, shipment, and deployment of the Editor to Morocco Casablanca in strict accordance with the terms set forth in this document. Any modifications to this Purchase Order must be made in writing and signed by both parties. This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Morocco, and any disputes arising from the procurement, delivery, or use of the Editor in Morocco Casablanca shall be subject to the exclusive jurisdiction of the commercial courts of Casablanca.

This Purchase Order (PO-MCA-2025-04871) is valid for a period of sixty (60) days from the date of issue. The Editor referenced herein is the GlobalEditor Professional Suite, Version 12.4 or later. All references to Morocco Casablanca in this document pertain to the Buyer's primary operational facility located at Tour Atlas, 12 Boulevard Mohammed V, Casablanca 20250, Morocco. This document constitutes the complete and final agreement between the parties regarding the procurement of the Editor and supersedes all prior negotiations, representations, or agreements, whether written or oral.
