The vendor shall deliver all software licenses, installation media, and documentation to our designated receiving address in Myanmar Yangon no later than 30 June 2025. The on-site installation and training session (Item 05) shall be conducted at our Yangon office premises during business hours (09:00–17:00 Myanmar Standard Time, UTC+6:30). The vendor's technical team is expected to travel to Myanmar Yangon and shall coordinate with our IT department at least five (5) business days prior to the scheduled on-site date. All travel, accommodation, and per diem expenses for the vendor's representatives in Yangon are included in the quoted price for Item 05.
- This Purchase Order becomes binding upon written acceptance by the vendor. The vendor shall confirm acceptance in writing within five (5) business days of receipt of this document.
- Payment shall be made via bank transfer to the vendor's designated account within thirty (30) calendar days of the invoice date, in accordance with Myanmar's Foreign Exchange Management regulations administered by the Central Bank of Myanmar.
- All intellectual property rights associated with the ApexPro Editor software remain the sole property of Apex Software International Pte. Ltd. This Purchase Order grants Golden Pagoda Digital Solutions Co., Ltd. a non-transferable, non-exclusive license to use the Editor for internal business operations within Myanmar.
- The vendor warrants that the Editor software shall be free from material defects in workmanship and design for a period of twelve (12) months from the date of installation in Yangon.
- Any delay in delivery beyond the specified date of 30 June 2025 shall incur a penalty of 0.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 10%.
- This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of the Union of Myanmar. Any disputes arising from this Purchase Order shall be resolved through arbitration in Yangon, Myanmar, in accordance with the Myanmar Arbitration Law.
- The vendor shall comply with all applicable Myanmar import regulations, data protection requirements, and software licensing laws when delivering and supporting the Editor within Myanmar Yangon.
- Warranty and support services shall be provided in English, with optional Burmese-language support documentation available upon request.
This Purchase Order has been reviewed and authorized by the undersigned representatives of Golden Pagoda Digital Solutions Co., Ltd., Myanmar Yangon. By signing below, the vendor acknowledges receipt of this Purchase Order and agrees to fulfill all obligations as specified herein for the delivery of the Editor software and associated services to our Myanmar Yangon operations.
