This Purchase Order is issued by Himalayan Digital Media Solutions Pvt. Ltd., a registered media production company operating out of Nepal Kathmandu, for the acquisition of the Editor Professional Software Suite (Version 12.4 Enterprise Edition). The Editor software is a comprehensive, multi-platform editing application designed for professional video editing, audio post-production, and text-based content management. The Editor suite will be deployed across our primary production facility located in the Baneshwor district of Kathmandu, Nepal, and will serve as the central editing platform for all broadcast, documentary, and digital media projects produced by our organization.

The Editor software package includes the full non-linear video editing module, the integrated audio mixing and mastering workstation, the advanced color grading and correction engine, the collaborative project management dashboard, and the automated subtitle and caption generation toolset. All components of the Editor suite must be fully licensed, activated, and configured for operation within the Kathmandu, Nepal office environment, including compatibility with local power infrastructure, internet bandwidth conditions, and the Nepali language localization settings.

• All digital Editor software licenses, activation keys, and installation media shall be delivered electronically to the designated IT administrator at our Kathmandu, Nepal office no later than 28 June 2025.
• The on-site installation and configuration service (Item 05) shall be performed by a certified Editor technical specialist who will travel to Kathmandu, Nepal, and complete all hardware and software integration within five (5) business days of arrival.
• The Editor training program (Item 06) shall be conducted at our premises in New Baneshwor, Kathmandu, Nepal, over three consecutive business days, with sessions scheduled between 9:00 AM and 5:00 PM Nepal Standard Time (NPT, UTC+5:45).
• All Editor software components must be configured to support the Nepali (Devanagari) script, English, and Hindi language interfaces, as well as local file system paths and network configurations specific to the Kathmandu office infrastructure.
• Delivery of all physical materials, if any, shall be made to: Himalayan Digital Media Solutions Pvt. Ltd., 3rd Floor, Shree Krishna Complex, New Baneshwor Marg, Kathmandu 44600, Nepal.

• Payment shall be made in United States Dollars (USD) via international wire transfer to the supplier's designated bank account.
• A non-refundable deposit of 30% (USD 34,349.18) of the grand total is due within seven (7) business days of the acceptance of this Purchase Order.
• The remaining 70% (USD 80,148.07) shall be paid within thirty (30) calendar days following the successful completion of the Editor installation, configuration, and training in Kathmandu, Nepal, as confirmed by a signed acceptance certificate.
• All payments are subject to the prevailing foreign exchange rates and applicable banking regulations of the Nepal Rastra Bank (Central Bank of Nepal). The buyer reserves the right to settle the equivalent amount in Nepali Rupees (NPR) at the Nepal Rastra Bank's official exchange rate on the date of payment, if required by local financial regulations.
• Late payments shall incur a penalty of 1.5% per month on the outstanding balance, calculated from the due date.

• The supplier warrants that all Editor software products delivered under this Purchase Order are genuine, fully licensed, free from defects, and compliant with all applicable software distribution laws in Nepal.
• The Editor software shall be guaranteed to function correctly on the hardware specifications outlined in Annexure A of this Purchase Order, which are standard for our Kathmandu, Nepal production environment.
• The supplier shall provide a minimum of twelve (12) months of priority technical support for the Editor suite, with response times not exceeding four (4) hours during Nepal Standard Time business hours (9:00 AM – 6:00 PM NPT, Monday through Saturday).
• The supplier acknowledges that this Purchase Order is governed by the commercial laws of the Kingdom of Nepal and, in the event of any dispute, shall be subject to the jurisdiction of the competent courts in Kathmandu, Nepal.
• All data processed through the Editor software within the Kathmandu facility shall remain the exclusive property of the buyer. The supplier shall not access, replicate, or transmit any project files, media assets, or user data stored on the local Editor installation without explicit written consent.

This Purchase Order becomes binding upon written acceptance by both parties. The supplier's acceptance shall be confirmed by a signed copy of this document returned to the buyer within five (5) business days of receipt. Failure to respond within the stipulated period shall be construed as acceptance of all terms and conditions herein.
